الشروط العامة للعقد
تعريفات
أولاً: في مجال هذا العقد، تكون للكلمات والعبارات الآتية، المعاني المبينة أمام كل منها، ما لم تدل القرينة على خلاف ذلك:
| الدائرة | صاحب العمل هو (الطرف الأول). |
| المهندس | المهندس المعين من قبل دائرة........... صاحب العمل (الطرف الأول) للإشراف على تنفيذ الأعمال موضوع العقد، أو المهندس الاستشاري الذي تكلفه الدائرة بالإشراف على تنفيذ الأعمال موضوع العقد. |
| المقاول | من عهد إليه القيام بالعمل وهو (الطرف الثاني). |
| الأعمال | الأعمال التي يراد تنفيذها طبقًا لشروط هذا العقد. |
| العقد | كافة وثائق العقد بأجزائها الأربعة وهي وثائق ومستندات المناقصة والعقد، والشروط العامة والخاصة للعقد، والمواصفات العامة والخاصة، والمخططات والتصاميم والمراسلات المتبادلة. |
| معتمد | معتمد من الدائرة كتابةً. |
| المخططات والتصاميم | المخططات والتصاميم المعتمدة للمشروع والمشار إليها في الوثائق والمواصفات الفنية، وأية تعديلات يوافق عليها المهندس كتابةً، وكذلك أية رسومات أخرى قد يقدمها المهندس من وقت لآخر أو يوافق عليها كتابةً. |
| الموقع | الأراضي وغير ذلك من الأماكن التي تنشأ عليها أو تحتها أو فيها أو عبرها الأعمال التي يراد تنفيذها أو القيام بها وأية أراضٍ أو أماكن أخرى يقدمها الطرف الأول فيما يتعلق بهذا العقد مع غيرها من الأماكن التي ينص العقد على وجه التحديد أنها جزء من الموقع. |
| الأعمال المؤقتة | كل ما يلزم من أعمال مؤقتة على اختلاف أنواعها من أجل تنفيذ الأعمال الدائمة أو إنجازها أو صيانتها. |
| معدات الإنشاء والتجهيزات | أية معدات أو إنشاءات مؤقتة مهما كانت صفتها مما يلزم لتنفيذ أو إنجاز أو صيانة الأعمال المؤقتة ولكنها لا تتضمن المواد أو الأشياء الأخرى التي تكون أو يراد لها أن تكون جزءًا من الأعمال موضوع العقد. |
| المفرد والجمع | الكلمات التي تفيد المفرد تشمل الجمع أيضًا حيثما اقتضت القرينة ذلك، والعكس بالعكس. |
ثانياً: عناوين المواد المبينة بهذا العقد هي لتسهيل الرجوع إلى أحكام العقد، ولا تأثير لها على تفسير مواد هذا العقد.
الفصل الأول
نطاق العقد
مادة (1)
يشمل هذا العقد إنشاء جميع الأعمال المطلوبة وإتمامها وصيانتها، أثناء الفترة المحددة بالعقد، وتوريد كافة المواد والآلات والمعدات ووسائل النقل والأيدي العاملة ومعدات الإنشاء والتجهيز (الورشة) وكل ما يلزم لإتمام الأعمال على أكمل وجه، سواء كان ذا طبيعة دائمة أو مؤقتة، وطبقاً للموضح تفصيلاً في وثائق العقد، بأجزائها الأربعة التي تعتبر وحدة واحدة وهي:
- وثائق ومستندات المناقصة والعقد.
- الشروط العامة والخاصة للعقد.
- المواصفات العامة والخاصة.
- المخططات والتصاميم والمراسلات المتبادلة.
الفصل الثاني
مدة تنفيذ العقد
مادة (2)
تحديد مدة العقد
- حددت مدة تنفيذ العقد طبقًا للموضح بالجزء الأول من وثائق العقد، وتبدأ هذه المدة من تاريخ تسليم الموقع للمقاول بموجب محضر يوقع عليه من الطرفين، وإذا لم يحضر المقاول أو مندوبه لتسليم الموقع في التاريخ المحدد له، يحرر محضر بذلك ويخطر بصورة منه ويعتبر هذا التاريخ موعد البدء في تنفيذ العمل وتكون مدة التنفيذ شاملة أيام الجمع والأعياد الرسمية وغيرها من إجازات عامة.
- ويجب على المقاول إنهاء كافة الأعمال المعهودة إليه بموجب هذا العقد، بما في ذلك التعديلات والزيادات الصادر بها أوامر من الدائرة خلال المدة المحددة لتنفيذ الأعمال، وإذا صادف الموعد المحدد لانتهاء تنفيذ الأعمال طبقًا للعقد عطلة رسمية، فيمتد هذا الموعد تلقائيًا بمقدار مدة العطلة الرسمية بدون توقيع غرامة تأخير.
مادة (3)
تمديد موعد إنجاز الأعمال
- يجوز للدائرة تمديد موعد إنجاز الأعمال لمدة مناسبة، وذلك إذا ما رأت طبقًا لتقديرها أن التأخير في إنجاز الأعمال ناجم عن أحد الأسباب الآتية:
- أ. القوة القاهرة.
- ب. طقس قاسٍ غير مألوف.
- ج. الخسارة أو التلف الناجمان عن الحريق، الذي لا دخل للمقاول أو أحد موظفيه أو عماله في إحداثه.
- د. اضطرابات داخلية أو تكتلات محلية للعمال أو إضراب أو إيقاف للعمل مما يؤثر على تنفيذ الأعمال، ما لم يكن المقاول متسبباً فيها.
- هـ. قيام المقاول بتنفيذ تعليمات المهندس طبقًا للمادة (17) من هذه الشروط. عدم تلقي المقاول في الوقت المناسب تعليمات ضرورية كان قد طلبها كتابةً من المهندس.
- و. تأخر الدائرة أو المقاولين أو الموردين المعينين من الباطن في توريد المواد أو السلع التي التزموا بتوريدها بشرط أن يرى المهندس أن المقاول قد اتخذ جميع الخطوات الممكنة لتلافي هذا التأخير أو إنقاصه.
- ويجب على المقاول في جميع الحالات أن يخطر المهندس فور وقوع العارض الذي يتسبب في التأخير، ومع هذا فعلى المقاول أن يبذل قصارى جهده لتفادي التأخير.
مادة (4)
إيقاف العمل بسبب مخالفة نصوص العقد
إذا خالف المقاول أي شرط من شروط العقد أو مواصفات الأعمال أو أهمل في تنفيذها، فللمهندس أن يأمر بإيقاف تنفيذ أعمال جديدة في الجزء أو الأجزاء التي تتأثر بمخالفة المقاول أو إهماله وذلك إلى أن يصلح آثارها، ولا يحق للمقاول أن يطلب في هذه الحالة تمديد الموعد المحدد لإتمام الأعمال ولا أن يطلب تعويضًا عن إيقاف العمل أو إعفاءه من غرامة التأخير.
الفصل الثالث
المقابل المالي لأعمال العقد
مادة (5)
ما يشمله المقابل المالي للعقد
- حددت القيمة الإجمالية للعقد طبقًا للموضح بالجزء الأول من وثائق العقد، وتشمل هذه القيمة إنشاء جميع الأعمال المطلوبة وإتمامها وصيانتها وتوريد كافة المواد والآلات والمعدات ووسائل النقل والأجور وكل ما يلزم لإتمام العمل على أكمل وجه وطبقاً للموضح تفصيلاً بوثائق ومستندات العقد بأجزائها الأربعة.
- ويشمل سعر الوحدة الموضح بجداول الكميات والأسعار الإفرادية بالجزء الأول من وثائق العقد تكاليف العمل والمواد والعمالة والمصاريف الإدارية والأرباح وجميع ما يلزم لتنفيذ الأعمال وإكمالها وصيانتها طبقًا للشروط والمخططات والتصاميم المبينة بهذا العقد.
مادة (6)
شهادات الدفع
- يقدم المقاول للمهندس في نهاية كل شهر كشوفاً بالدفعات المستحقة له موقعة منه ومبيناً فيها الكميات وقيمة الأعمال المنفذة وكذا كميات وقيمة ونوع المواد المشونة بالموقع والتي ستدخل مستقبلاً في الأعمال التي ستنفذ على أن تكون هذه الكشوف من أصل وست صور موقعة من المقاول أو وكيله، ويقوم المهندس بتدقيقها ويرفق بها شهادة الدفع.
- وبالنسبة للأعمال التي وضعت أسعارها على أساس كميات وأسعار إفرادية، فتحسب قيمة الأعمال المنفذة فعلاً سواء نشأت الزيادة أو النقص عن خطأ في حساب جداول الكميات أو عن تغييرات أدخلت في العمل بمقتضى أي حق يخول للدائرة المعنية طبقاً لأحكام العقد.
- أما بالنسبة للأعمال التي وضعت أسعارها على أساس المقطوعية، فتحسب قيمة الأعمال المنفذة على أساس نسبة الأعمال المنفذة فعلاً إلى الأعمال الكلية المطلوب تنفيذها.
- مع عدم الإخلال بالامتيازات المقررة للمقاول المواطن، يدفع للمقاول دفعات دورية خلال 45 يومًا من تاريخ تقديم المهندس لشهادة الدفعة قدرها 90% من القيمة التعاقدية للأعمال المنفذة كما يدفع له 75% من قيمة المواد المشونة بالموقع والمطابقة للمواصفات والتي ستدخل في الأعمال المطلوب تنفيذها وطبقاً لما يراه المهندس وتحدد قيمة هذه المواد المشونة وقت إحضارها للموقع في الوقت المناسب لا قبل ذلك وبشرط تخزينها بطريقة مأمونة وتدبير سبل حمايتها من تقلبات الجو وغير ذلك من العوارض وذلك كله على نفقة المقاول ومسؤوليته.
- وعند انتهاء الأعمال وإجراء التسليم الابتدائي لها طبقًا للمادة (35) من هذه الشروط، يقوم المهندس بإعداد شهادة الدفعة الختامية وذلك بعد حصر الأعمال نهائياً بالاشتراك مع المقاول أو مهندسه ويتم تحديد المستحقات الختامية للمقاول بعد استقطاع ما عليه من التزامات أو مطالبات وكذلك ما سبق صرفه له من دفعات ويصرف له الباقي.
- وبعد انتهاء فترة ضمان الصيانة وتقديم المهندس للتقرير الدال على قيام المقاول بأعمال الصيانة وتنفيذ التزاماته وإتمام الاستلام النهائي، تصدر الدائرة شهادة الاستلام النهائي التي يوقع عليها المقاول وترد له الكفالة المصرفية الخاصة بالتأمين النهائي أو ما تبقى منها.
- للمهندس الحق في إجراء أي تصحيح أو تعديل في قيمة أية شهادة دفع سابقة عند مراجعته لأية شهادة لاحقة وله أن يرفض أية شهادة مقدمة من المقاول إذا تراءى له أن الأعمال موضوع الشهادة كلها أو بعضها غير مرضية، كما له أن يخصم قيمة المواد التالفة وكذلك قيمة المهمات والمعدات والآلات التي وردتها الدائرة للمقاول بغرض استعمالها في تنفيذ الأعمال والتي فقدت أو أصيبت أو تلفت لسوء الاستعمال أو لأي سبب آخر.
الفصل الرابع
تعديل العقد
أولاً: تعديل المقادير والكميات
مادة (7)
في حالة التعاقد على أساس الأسعار بالمقطوعية
- القيمة الإجمالية المقطوعة التي ضمنها المقاول عطاءه تعتبر شاملة ومغطية إتمام تنفيذ كافة أعمال العقد وثمن المواد والسلع اللازمة وأجور الأيدي العاملة والمصاريف الإدارية والأرباح وغيرها.
- وتحتفظ الدائرة بحقها في تعديل كافة ما يشمله العقد بالزيادة أو النقص في حدود 20% من قيمته الإجمالية وتتم محاسبة المقاول على أساس أسعار العقد الأصلي دون أن يكون له الحق في الاعتراض أو المطالبة بأي تعويض وتنفيذاً لذلك يمكن للدائرة أن تعدل نوع وكميات وأوزان وأبعاد الأعمال المبينة والموصوفة بوثائق العقد، أو أن تأمر بحذف أي عمل من الأعمال أو باقي بنود العقد أو جزء منها مع أو بدون استبداله بعمل آخر، أو أن تأمر بإضافة أعمال جديدة ولها بصفة خاصة تغيير المناسيب والتخطيط الموضوع أو إصدار رسومات أو مواصفات جديدة أو مغايرة ويجب على المقاول أن يتبع وينفذ مثل هذه التعديلات كأنها وردت بالعقد الأصلي كما أن هذه التعديلات لا تقلل من مسؤولية المقاول في التزامه بالقيام بالعمل على الوجه المطلوب.
- ولا يحق للمقاول أن يجري أي تعديل على الأعمال الموضحة بوثائق العقد إلا بعد حصوله على موافقة كتابية من الدائرة، كما لا يكون له الحق في المطالبة بأي مقابل، لقاء ما أجراه من تغيير أو إضافة دون أن يحصل على الموافقة المشار إليها.
- ويجوز للدائرة تجاوز نسبة الـ 20% المشار إليها إذا كانت الزيادة لازمة لإكمال المشروع، ويتم الاتفاق على وحدات الأسعار التي تجاوز هذه النسبة مع المقاول وفي حالة عدم الاتفاق تحدد الأسعار طبقًا للإجراءات المبينة بالمادة (46) من هذه الشروط بصفة عاجلة مع استمرار المقاول في العمل دون توقف.
- وفي حالة إعطاء الدائرة للمقاول أوامر تقتضي إجراء بعض التعديلات فيقوم المهندس بقياس وتقييم هذه التعديلات وعليه إعطاء المقاول فرصة الحضور عند إجراء القياس وتسليمه نسخة من جداول التعديلات المسعرة قبل إصدار المهندس شهادة الدفعة الخاصة بهذه التعديلات.
ويتم تقييم التعديلات وفقًا للقواعد الآتية:
تستخدم جداول الكميات المسعرة والأسعار الإفرادية والجداول التحليلية الموضحة بالجزء الأول من وثائق العقد كأساس لتقييم الأعمال الإضافية التي تماثل في نوعها ومواصفاتها وظروف تنفيذها الأعمال المبينة والمسعرة في الجداول المذكورة بشرط أن لا تتعدى قيمة هذه الأعمال 20% من قيمة العقد الأصلي أما الحالات التي يترتب عليها زيادة في قيمة العقد تجاوز 20% فيتم الاتفاق بين الدائرة والمقاول على السعر المعدل طبقاً للموضح آنفاً.- أ. إذا لم تكن الأعمال الإضافية مماثلة في نوعها أو مواصفاتها أو ظروف تنفيذها لما تضمنه العقد الأصلي اتخذت الأسعار الواردة بجداول الأعمال اليومية أساساً لتقييم هذه الأعمال بقدر الإمكان وذلك بالاتفاق بين الطرفين مع استمرار المقاول في العمل دون توقف.
- ب. يتم تقييم الأجزاء الملغاة وفقًا للأسعار الواردة بجداول الكميات والأسعار الإفرادية والجداول التحليلية بالجزء الأول من وثائق العقد وإذا ترتب على هذا الإلغاء نقص يزيد على 20% من القيمة الإجمالية ونتج عن ذلك حدوث تغيير جوهري في ظروف تنفيذ الأجزاء المتبقية جاز للمقاول المطالبة بالتعويض عن ذلك.
مادة (8)
في حالة التعاقد على أساس الكميات والأسعار الإفرادية لكل بند على حدة
- مع عدم الإخلال بما جاء بالمادة السابقة من أحكام، فإنه إذا تم التعاقد على أساس الأسعار الإفرادية لكل بند على حدة وتم تحديد كمية كل بند بجداول الكميات والأسعار بالجزء الأول من العقد، فتعتبر المقادير والكميات الواردة بهذه الجداول تقريبية قابلة للزيادة أو النقص والعبرة في المحاسبة تكون بالكميات النهائية المنفذة فعلاً على الطبيعة، والغرض من هذه المقادير والكميات هو بيان مقدار العمل بصفة عامة والقيمة التي تدفع للمقاول تكون على أساس الكميات التي تنفذ فعلاً متى كان التعديل في الكميات ناتجاً عن تطبيق رسومات ومواصفات العقد أو كان ناتجاً من تغييرات أدخلت في العمل بمقتضى أي حق مخول للدائرة طبقًا لأحكام هذا العقد، ويفترض أن المقاول قد قام بنفسه بالتحري عن صحة المقادير والكميات المذكورة بصفة عامة، وبالرغم من ظهور عدم صحة هذه المقادير فإن كل فئة من الفئات المدرجة بجداول الكميات والأسعار تكون ملزمة للمقاول أثناء تنفيذ العقد، ولا تكون عرضة لإعادة النظر فيها بسبب اختلاف في المقادير والكميات أو لأي سبب آخر.
- وتقاس الأعمال بمعرفة المهندس أولاً بأول أثناء سير العمل وذلك بالاشتراك مع المقاول أو مهندسه ويوقع بصحة المقادير والأوزان كل منهما وإذا تخلف المقاول أو مهندسه عن الاشتراك في عملية الحصر والقياس بعد إخطاره بذلك مسبقًا فيكون المقاول ملزماً بالمقاسات والأوزان التي يجريها المهندس وفي جميع الحالات تعرض أوجه الخلاف بين المهندس والمقاول أو مهندسه على الدائرة للبت فيها.
ثانياً: تعديل مدة التنفيذ
مادة (9)
في حالة التعاقد على أساس الكميات والأسعار الإفرادية
- إذا جاوزت التعديلات في مقادير وكميات الأعمال بالعقد 20% من إجمالي قيمة العقد، وكان ذلك ناتجًا عن عدم دقة المقادير والكميات الواردة في العقد، فعلى المقاول إذا رأى أن هذه التعديلات سيترتب عليها عدم إتمام العمل خلال مدة التنفيذ الموضحة بالعقد أو زيادة في المصاريف أو إلحاق ضرر به أن يطلب كتابةً من الدائرة خلال 14 يوماً من تاريخ إبلاغه بالإخطار المتضمن للتعديلات الجديدة امتداد مدة تنفيذ العقد أو تعويضه عن المصاريف الزائدة بحسب الأحوال.
- وللدائرة الحق في إجازة المقاول بما تراه مناسباً طبقاً لتقديرها المطلق، وعند تقدير الدائرة لحساب المصاريف الزائدة التي تحملها المقاول يكون من حق الدائرة مراعاة ما قد يترتب على أي تعديل للعقد من وفر للمقاول، ولا تكون الموافقة على امتداد مدة تنفيذ العقد صحيحة إلا إذا كانت صادرة من الدائرة كتابةً.
- ولا يحق للمقاول المطالبة بامتداد مدة تنفيذ العقد أو الحصول على أي مبلغ إضافي أو تعويض بسبب أي تعديل في مقادير وكميات أعمال العقد إذا لم يقدم طلبه بالكيفية وخلال المدة الموضحة فيما تقدم.
- وإذا كانت هذه التعديلات في المقادير والكميات ناتجة عن أمر صادر عن الدائرة بأعمال إضافية بموجب الصلاحيات المخولة لها في هذا العقد ولم يكن الأمر متضمناً مدة إضافية مناسبة لتنفيذه، جاز للمقاول أن يطلب امتداد مدة التنفيذ على النحو المشار إليه في الفقرة (1) من هذه المادة.
مادة (10)
في حالة التعاقد على أساس المبلغ المقطوع تسري أحكام الفقرة (4) من المادة (9) إذا تم التعاقد على أساس المبلغ المقطوع.
الفصل الخامس
التأمينات والضمانات
أولاً: التأمينات
مادة (11)
التأمين النهائي
- يجب على المقاول أن يقوم خلال مدة لا تزيد على 21 يوماً من تاريخ إخطاره برسو العطاء عليه بتقديم التأمين النهائي عن العقد وذلك بواقع... % من إجمالي قيمة العقد بموجب كفالة مصرفية غير مشروطة من أحد البنوك العاملة بإمارة أبوظبي، والذي تقبله الدائرة، على أن تبدأ مدة سريان هذه الكفالة من تاريخ صدورها إلى تاريخ إتمام التسليم النهائي، ويجب على المقاول تجديد مدة هذه الكفالة إلى أن يتم إنجاز جميع الأعمال موضوع العقد وقبول هذه الأعمال من الدائرة واستلامها استلاماً نهائياً وإجراء التسوية الحسابية ويجب أن تكون هذه الكفالة غير قابلة للإلغاء سواء بالنسبة للمدة الأصلية أو لمدة التجديد.
- وعلى المقاول أن يبقي التأمين الابتدائي ساري المفعول إلى أن يقدم التأمين النهائي وإذا لم يقم المقاول بتقديم التأمين النهائي في الميعاد وعلى النحو المشار إليه في الفقرة السابقة فيكون للدائرة بمجرد انتهاء المهلة المذكورة الحق في مصادرة التأمين الابتدائي أو تنفيذ المشروع على حسابه مع تحميله بفرق السعر مضافًا إليه 10% من إجمالي قيمة العقد الجديد كمصاريف إدارية، وتستوفى كافة هذه المبالغ من مستحقات المقاول لدى الدائرة أو لدى أية جهة حكومية أو مؤسسة عامة أو أية جهة تساهم الحكومة في رأسمالها وذلك دون الحاجة إلى اتخاذ أية إجراءات قانونية، بالإضافة إلى أحقية الدائرة في شطب اسمه من سجل المقاولين لديها.
- ويشترط في الكفالة النهائية أن تكون قيمتها بالكامل مستحقة الدفع للدائرة نقداً وفوراً بمعرفة المصرف الضامن بموجب طلب كتابي وبغير حاجة إلى اتخاذ أية إجراءات قانونية أو الالتجاء إلى القضاء ويلتزم المقاول بتكملة قيمة الكفالة النهائية إلى الحد المقرر لها إذا ما استوفت الدائرة منها أي مستحقات لها، وكذلك إذا زادت قيمة العقد نتيجة أوامر تغييرية أو خلافه فيلتزم المقاول بتكملة التأمين النهائي إلى ما يوازي ...% من إجمالي قيمة الأعمال المطلوبة بعد الزيادة.
مادة (12)
التأمين على أعمال العقد
- يجب على المقاول أن يقوم بمعرفته أو بمعرفة مقاوليه من الباطن وعلى نفقته الخاصة وقبل البدء بالأعمال بالتأمين باسمه ولصالح الدائرة على كافة الأعمال المنفذة وكذلك المواد والسلع الموجودة بالموقع بما يعادل قيمتها كاملة، عن الخسارة والتلف الناتجين عن الحريق والمخاطر والأضرار الأخرى وذلك لدى إحدى شركات التأمين الوطنية، والتي توافق عليها الدائرة ويجب عليه أن يبقى هذا التأمين سارياً لحين إتمام تسليم الأعمال تسليماً نهائياً وأن يقوم بإيداع عقود التأمين وإيصالات سداد الأقساط لدى الدائرة فإذا قصر المقاول في القيام بذلك، جاز للدائرة القيام به وسداد الأقساط المستحقة خصماً من مستحقات المقاول لديها.
- ويجب على المقاول أن يشرع بالهمة الكافية في إصلاح أو إعادة بناء أو استبدال الأعمال والسلع والمواد التي أصابها التلف أو الضرر، وفي هذه الحالة ترد الدائرة للمقاول وثائق التأمين وذلك بمقتضى شهادات من المهندس.
- ولا يستحق المقاول أية مبالغ تتعلق بأعمال الإصلاح أو إعادة البناء أو الاستبدال للأعمال والمواد والسلع التي أصابها الضرر بخلاف المبالغ المدفوعة بموجب وثائق التأمين.
مادة (13)
التأمين على العمال والغير
يجب على المقاول أن يقوم قبل بدء الأعمال وعلى النحو المشار إليه في المادة السابقة بالتأمين ضد ما يحدثه سير العمل من وفاة أو إصابة لأي من موظفيه أو عماله أو غيرهم من الناس، أو من إضرار بممتلكات الحكومة أو الغير ويكون المقاول مسؤولاً وحده عما ينتج عن الوفاة أو الإصابة أو الأضرار أياً كان نوعها وسواء نشأت عن إهماله الشخصي أو إهمال وكلائه وعماله ومن يستخدمهم أثناء سير العمل.
ثانياً: الضمانات
مادة (14)
ضمان الصيانة
- يضمن المقاول الأعمال موضوع هذا العقد وحسن تنفيذها على الوجه الأكمل وصيانتها لمدة.... من تاريخ الاستلام الابتدائي للأعمال كلها، أو جزء منها يكون قد تم استلامه ابتدائياً على حدة وهو مسؤول عن بقاء جميع الأعمال سليمة خلال هذه المدة، فإذا ظهر بها أي خلل أو عيب يقوم المقاول بإصلاحه على نفقته في الموعد الذي تحدده له الدائرة.
- فإذا قصر المقاول في القيام بالإصلاحات على النحو المذكور، كان للدائرة الحق في تنفيذ هذه الإصلاحات بالكيفية التي تراها وعلى نفقة ومسؤولية المقاول، كما يكون للدائرة الحق في خصم تكاليف هذه الإصلاحات من التأمين النهائي أو أية مستحقات أخرى للمقاول لدى الدائرة أو أية جهة حكومية أخرى دون أن يكون له الحق في الاعتراض على طريقة التنفيذ أو قيمة تكاليف الإصلاحات.
مادة (15)
شهادة الاستلام النهائي
- يجب على المقاول وقبل انتهاء مدة الصيانة بوقت مناسب أن يقوم بإخطار الدائرة كتابةً بتحديد موعد للمعاينة ومتى تبين للدائرة أن الأعمال موضوع العقد قد تم تنفيذها وصيانتها بالكامل وبحالة جيدة وأن المقاول قد قام بتنفيذ جميع التزاماته فيتم استلام هذه الأعمال نهائياً بموجب شهادة من ثلاث نسخ يوقع عليها كل من مندوبي الدائرة والمقاول، فإذا اتضح من المعاينة أن المقاول لم يقم بتنفيذ بعض الالتزامات المطلوبة منه تأجل الاستلام النهائي لحين تنفيذ هذه الالتزامات.
- وعند إتمام التسليم النهائي تتم تسوية الحساب الختامي.
مادة (16)
ضمان الأعمال
على الرغم من صدور شهادة الاستلام النهائي بعد انتهاء فترة الصيانة وتسوية كافة الحسابات عن هذا العقد، يبقى المقاول مسؤولاً لمدة عشر سنوات من تاريخ الاستلام الابتدائي عن أي عيب أو خلل قد يظهر على الأجزاء الأساسية من المبنى سواء الأساسات أو الجدران الحاملة أو الهيكل الخرساني وخلافه من جراء أي غش أو إهمال من قبل المقاول وعن أي ضرر قد ينجم عن هذا العيب أو هذا الخلل.
الفصل السادس
سير العمل أثناء التنفيذ
مادة (17)
برنامج العمل
- يجب على المقاول خلال مدة أسبوعين من تاريخ التوقيع على هذا العقد أن يقدم للدائرة برنامجاً واضحاً ومفصلاً لمراحل تنفيذ الأعمال، وتقسيم الأعمال إلى أقسام وبنود ويبين فيها الترتيب الذي يتبعه لتنفيذ العمل بكل قسم وبند على أن لا تتجاوز مدة هذا البرنامج المدة المحددة بالعقد، ولا يعمل بهذا البرنامج إلا بعد اعتماده كتابةً من الدائرة.
- ولا يجوز إجراء أي تعديل على البرنامج المعتمد إلا بعد موافقة الدائرة الكتابية، وللدائرة الحق في إدخال أي تعديل على هذا البرنامج حسبما تراه ضرورياً لصالح العمل دون أن يترتب على هذا التعديل أحقية المقاول في المطالبة بأي تعويض، ولا يؤثر اعتماد الدائرة لبرنامج العمل أو التعديل الذي تدخله عليه على التزام المقاول بتنفيذ الأعمال في الموعد المحدد ولا على مسؤولياته بشأن سلامة وصحة وصلاحية وكفاية الأساليب المتبعة في التنفيذ والمعدات المستخدمة.
مادة (18)
تعليمات المهندس
- يجب على المقاول أن يقوم بتنفيذ الأعمال على نحو يرتضيه المهندس المشرف على تنفيذ الأعمال وللمهندس أن يصدر من وقت لآخر ما يراه مناسبًا من رسومات إضافية أو تعليمات وتوجيهات وإيضاحات وتسمى جميعها (تعليمات المهندس) وتشمل هذه التعليمات على سبيل المثال لا الحصر ما يأتي:
- أ - تغيير في التصميم أو في نوع الأعمال ومقدارها.
- ب - البت في أي اختلاف بين الرسومات التنفيذية والمواصفات.
- ج - إبعاد أية مواد من موقع العمل يكون المقاول قد أحضرها إليه وإحضار مواد أخرى بديلة يوافق عليها المهندس.
- د - إعادة تنفيذ أي عمل قام به المقاول ولم يوافق عليه المهندس.
- هـ - تأجيل تنفيذ أي عمل تقرر تنفيذه بموجب هذا العقد.
- و- إبعاد أي شخص غير مرغوب فيه عن العمل بالموقع فوراً.
- ز- إصلاح الأعمال المعيبة.
- ح- الكشف عن أي عمل مغطى لفحصه.
- ط- طلب اختبار الأعمال أو المواد.
- ويجب على المقاول أن يتبع وينفذ بدون تأخير وبكل دقة التعليمات التي يصدرها إليه المهندس، كما يجب عليه أن يخطر المهندس بالتفصيل بجميع المسائل المتعلقة بالأعمال وبالمواد اللازمة للمشروع.
- وإذا أصدر المهندس للمقاول تعليمات أو توجيهات أو إيضاحات شفوية تستتبع تغييراً ما، وجب على المهندس تأكيدها كتابةً، فإذا لم يفعل وجب على المقاول أن يطلب تأكيد هذه التعليمات أو التوجيهات أو الإيضاحات وذلك بالكتابة إلى المهندس خلال سبعة أيام من صدورها، فإذا لم يقم المهندس خلال سبعة أيام أخرى بنقضها كتابةً للطرف الثاني، اعتبرت التعليمات أو التوجيهات أو الإيضاحات الشفوية كأنها صدرت كتابةً من المهندس.
مادة (19)
المخططات والتصاميم والمواصفات وجداول الكميات التقديرية
- تبقى المخططات والتصاميم وجداول الكميات التقريبية في حوزة المهندس حتى يمكن الرجوع إليها في جميع الأوقات المناسبة من قبل طرفي العقد، وتقوم الدائرة عقب توقيع العقد بتزويد المقاول بنسخة من هذه المخططات وجداول الكميات التقريبية بدون مقابل كما تقوم أيضاً بتزويده بالرسومات الأخرى التي تدعو الحاجة إليها تمكيناً له من القيام بتنفيذ كافة تعليمات المهندس، مع تزويده كذلك بأية تفصيلات أخرى يرى المهندس أنها ضرورية لتنفيذ جزء من الأعمال.
- ويجب على المقاول الاحتفاظ بهذه الرسومات والمواصفات وجداول الأعمال التقريبية بموقع الأعمال حتى تكون في متناول المهندس أو ممثله في جميع الأوقات المناسبة وعند استلام الدفعة النهائية يجب على المقاول أن يقوم على الفور بإعادة جميع المخططات التي تحمل اسم الدائرة إليها ولا يجوز للمقاول استعمال أي من هذه الوثائق في أي غرض خارج نطاق هذا العقد، كما لا يجوز له إفشاء أي من المعلومات التي ترد في جداول الأسعار أو استعمالها إلا في أغراض هذا العقد.
مادة (20)
تخطيط الأعمال والمناسيب
- يجب على المقاول قبل البدء في التنفيذ، عمل التخطيط بكل دقة، ويقوم المهندس بمراجعة هذا التخطيط، ويكون المقاول هو المسؤول وحده عن القيام بجميع أعمال التخطيط وعن صحتها ومراجعة الأبعاد والمناسيب المبينة على المخططات والتصاميم وعن صحة البيانات التي بها على الطبيعة ولا يخلي اعتماد المهندس أو اشتراكه مع المقاول في عمل التخطيط، المقاول من المسؤولية المطلقة عن التخطيط.
- ويعطي المهندس للمقاول نقطة ذات منسوب معلوم (روبير) أو نقطة مقارنة وعلى المقاول تحقيق هذا المنسوب ومراجعة أي خطأ يعتقد وقوعه من المهندس، والمقاول مسؤول عن عمل مناسيب مسلسلة من المنسوب المعطى له، كما أنه مكلف بالسير بجميع الأعمال تبعاً للمناسيب المطلوبة والمبينة على المخططات والتصاميم، ويجب على المقاول قياس الارتفاعات من النقطة المعطاة له أو من مناسيب محددة بعلامات ثابتة يقوم بعملها.
مادة (21)
عمليات المواد والسلع والمصنعية
- يلتزم المقاول بأن تكون جميع المواد والسلع والمصنعية مطابقة للمواصفات المبينة بمستندات العقد.
- أما بالنسبة للمعدات والتجهيزات الخاصة، فيجب أن تكون مستوفاة لشروط تصنيعها ومتفقة في النوع والمصدر والماركة التي حددها المقاول في عرضه ووافقت عليها الدائرة، وعلى المقاول أن يقدم للمهندس عينات من المواد والسلع التي ينوي استعمالها لاعتمادها قبل التوريد، وفي حالة عدم موافقة المهندس على اعتمادها فعلى المقاول أن يقدم عينات أخرى بدلاً منها مطابقة للمواصفات يوافق عليها المهندس.
- وعلى المقاول أن يقوم بإجراء الاختبارات والتحاليل التي يطلب المهندس إجراءها لأي من المواد على نفقته الخاصة وذلك للتأكد من مطابقة هذه المواد للمواصفات، وإذا طلب المقاول إعادة إجراء الاختبارات والتحاليل وقبلت الدائرة طلبه فتكون المصروفات على حساب المقاول وللدائرة أن تعيد إجراءها للمرة الثالثة وتكون هذه النتيجة الأخيرة هي المعول عليها، فإذا تطابقت نتيجة التحليل الثالث مع نتيجة التحليل الأول تحمل المقاول التكاليف وإلا تحملت الدائرة تكاليف التحليل الثالث.
- ويجوز للدائرة في حالة الضرورة قبول استعمال مواد بديلة للمنصوص عليها في العقد على أن تكون هذه المواد البديلة مماثلة في الجودة والنوعية لهذه المواد ومطابقة للمواصفات العامة والخاصة وبشرط أن يعتمدها المهندس، ولا يحق للمقاول في هذه الحالة المطالبة بأية زيادة في الأسعار بل يحق للدائرة خصم قيمة النقص في الأسعار المترتبة على ذلك طبقًا لما تقدره الدائرة دون اعتراض من المقاول.
- وتقوم الدائرة بتوريد جميع المواد والسلع والتجهيزات التي نص في مستندات العقد على قيامها بتوريدها بالطريقة وفي الموعد المحددين بالعقد وفي التاريخ الذي يتناسب مع برنامج عمل المقاول المعتمد من الدائرة، ويعتبر المقاول مسؤولاً عن هذه المواد والسلع والتجهيزات منذ بدء استلامه لها.
- وعلى المقاول أن يقوم بتوريد جميع المواد اللازمة لتنفيذ الأعمال وإنجازها والتي لم ينص في مستندات العقد على قيام الدائرة بتوريدها.
مادة (22)
تقارير سير العمل
يجب على المقاول أن يقدم للمهندس أو من يمثله في الأوقات وبالطريقة التي يراها تقارير مفصلة عن سير جميع الأعمال التي يتناولها العقد والطريقة التي يتبعها في التنفيذ وما يستخدمه من مواد، وعلى المقاول أن يقدم الصور الضوئية التي تبين بوضوح تقدم سير العمل وذلك في الوقت الذي يحدده المهندس وبالطريقة التي يعينها وعلى المقاول أن يقدم للمهندس صباح كل يوم تقريراً بعدد العمال المستخدمين في الأعمال من قبله ومن قبل مقاولي الباطن وأماكن توزيعهم على الأعمال.
مادة (23)
التفتيش والمعاينة
- للمهندس أو من ينوب عنه حرية المرور في أي وقت على أي جزء من مواقع العمل أو الورش أو المخازن وغير ذلك من أماكن تشوين أو تشغيل المهمات التابعة للمقاول أو للمقاولين من الباطن المعتمدين من قبل الدائرة والمتعلقة بأعمال العقد وذلك بقصد التفتيش أو المعاينة أو الاختبار أو أخذ القياس أو خلافه.
- ولا يجوز للمقاول تغطية أو ردم عمل أو حجبه عن النظر بدون موافقة المهندس وعليه أن يخطر المهندس في وقت مناسب كلما أصبح أي جزء من العمل جاهزاً للفحص أو التغطية أو الردم.
مادة (24)
معاينة مواقع العمل
يقر المقاول أنه تحرى بنفسه طبيعة الأرض وأنه تأكد من صلاحية التربة للتأسيس عليها طبقاً للرسومات التي قام بمراجعتها بمعرفته وأنه مسؤول عن تنفيذ جميع هذه الرسومات وكذلك التصميمات كما لو كانت مقدمة منه.
مادة (25)
المواد والآلات والمنشآت المؤقتة بموقع العمل
- جميع المواد والمنشآت المعتمدة والقطع والآلات التي تكون قد استحضرت بمعرفة المقاول لموقع العمل، أو على الأرض المخصصة لذلك في العقد بقصد استعمالها في تنفيذ الأعمال وكذلك جميع الأعمال والمنشآت المؤقتة الأخرى تظل كما هي وتعتبر مرهونة رهناً حيازياً للدائرة وتطبق بشأنها أحكام هذا الرهن، ولا يجوز نقلها أو التصرف فيها إلا بإذن كتابي من المهندس وذلك إلى أن يتم الاستلام الابتدائي على أن تبقى هذه الأشياء في عهدة المقاول وتحت حراسته ومسؤوليته وحده طوال مدة تنفيذ الأعمال ولا تتحمل الدائرة بشأنها أية مسؤولية تنجم عن الضياع أو السرقة أو التلف أو الحريق أو خلافه.
- ويجب على المقاول أن يهيئ مكاناً صالحاً لتشوين المواد القابلة للتلف بسبب العوامل الجوية، وذلك بطريقة يوافق عليها المهندس.
مادة (26)
انتظام الأعمال والتعاون مع المقاولين الآخرين في الموقع
- يجب على المقاول أن يجعل الأعمال تسير دائماً في حالة منتظمة، وألا يسمح بأي تدخل في الأعمال الأخرى الجارية بالموقع لغرض لا علاقة له بتنفيذ العقد، كما يجب عليه أن يبقى الموقع ويسلمه نظيفاً تماماً وخالياً من المواد والبقايا التي لا لزوم لها ومن الأشياء المضرة بالصحة، وعليه أن يسلم كل جزء من العمل بعد إنجازه، بحالة صالحة للاستعمال، فإذا لم يقم المقاول بهذه الأعمال فيكون من حق الدائرة أن تقوم بها على حساب المقاول وبدون اعتراض منه وبغير حاجة إلى إنذار أو الالتجاء إلى القضاء.
- وإذا اقتضى تنفيذ الأعمال الاشتغال في نفس موقع العمل مع مقاول آخر أو مع موظفي الحكومة أو غيرهم، فعلى المقاول أن يبذل جهده للتعاون في العمل مع هؤلاء دون أن يتدخل في شؤونهم وعليه أن يقدم لهم التسهيلات اللازمة ويجب عليه تنفيذ الأوامر التي تصدر له من المهندس في هذا الشأن وأن يخطره بأي خلاف قد ينشأ بينه وبينهم والقرار الذي يصدره المهندس في هذا الخلاف يعتبر نهائياً وملزماً للمقاول ولا يحق للمقاول المطالبة بأي تعويضات أو تمديد لمدة العقد نتيجة ما سبق.
مادة (27)
مراعاة القوانين واللوائح والتعليمات الخاصة
- يجب على المقاول مراعاة الالتزام بالقوانين واللوائح والأنظمة والتعليمات الخاصة بالشرطة والعمل والعمال والمياه والكهرباء والصحة والبلدية والآثار والطرق وغيرها مما يصدر عن الجهات الحكومية ويتحمل وحده ما يتطلبه ذلك من نفقات.
- ويجب عليه عند حدوث أية إصابة بمرض معدٍ في موقع العمل أن يخطر بذلك على الفور الجهة الصحية المختصة باسم وعنوان العامل المريض وأن يخطرها أيضاً عند غياب العامل المريض أو ترحيله بسبب المرض المعدي.
- كما يجب عليه أن يزود موقع العمل بمكان مناسب للإسعافات الأولية تتوفر فيه كافة الشروط الصحية المقررة والأدوية والمهمات الطبية الضرورية لمواجهة الظروف الطارئة مثل معالجة آثار ضربات الشمس والحروق والجروح... إلخ.
مادة (28)
حراسة الموقع وإنارته وتغذيته بالماء
يقوم المقاول على نفقته الخاصة بإنارة الموقع وتغذيته بالمياه والكهرباء، وكذلك إقامة الأسوار المؤقتة واللافتات الخاصة بالمشروع، وحراسة الموقع بكل ما فيه من آلات ومعدات ومواد ومهمات وتشوينات حتى إتمام التسليم الابتدائي، فإذا قصر المقاول في ذلك قامت به الدائرة أو من تعهد إليه بذلك على حساب المقاول.
مادة (29)
مواعيد العمل
يجب على المقاول أن يقوم بمباشرة الأعمال يومياً في المواعيد المتفق عليها ولا يجوز القيام بأي جزء من العمل أو السماح لأحد غير الحراس بالبقاء في مكان العمل في غير هذه المواعيد أو أثناء الليل أو في أيام الأسبوع غير المخصصة للعمل دون تفويض كتابي من الدائرة وهذا التفويض لا يخول المقاول أي حق في المطالبة بأية مبالغ إضافية كما لا يعفيه من أي التزام يترتب عليه بناءً على العقد.
مادة (30)
مهندس وموظفو وعمال المقاول
- يجب على المقاول أن يعين مهندساً كفئاً أو وكيلاً مفوضًا على أن توافق عليه الدائرة كتابةً ويجب أن يكون هذا المهندس متفرغاً للإشراف على تنفيذ الأعمال وأن يتواجد طوال ساعات العمل بالموقع، كما يجب أن يكون مفوضاً تفويضاً كاملاً ومخولاً صلاحية تامة في التصرف والوفاء بالتزامات المقاول، وكل تعليمات تصدر لمهندس المقاول من الدائرة أو مهندسها تعتبر بمثابة تعليمات صادرة للمقاول نفسه، وإذا تراءى للدائرة أن هذا المهندس غير كفء فيكون لها الحق في مطالبة المقاول باستبداله وعليه تنفيذ ذلك فوراً.
- كما يجب على المقاول تعيين العدد الكافي من المهندسين والمراقبين والعمال من ذوي الكفاءة والخبرة في نوعية الأعمال ويجب إخطار الدائرة ومهندسها بأسماء رؤساء العمال المخول لهم تلقي وتنفيذ أوامره وتعليماته، وعلى المقاول الاحتفاظ بسجل خاص يبين فيه أسماء كل هؤلاء العمال وبيانات جوازات سفرهم وإقامتهم وعناوين إقامتهم الدائمة والمؤقتة ويكون هذا السجل خاضعاً لتفتيش المهندس ومندوبي دوائر العمل والعمال بالدولة.
- ويجب على المقاول أن يراعي استخدام مواطني دولة الإمارات العربية المتحدة.
- وإذا رأت الدائرة أو مهندسها أن أحد موظفي المقاول أو مقاولي الباطن التابعين له قد أساء السلوك أو لا تتوافر لديه الكفاءة أو المؤهلات أو الخبرة المناسبة أو أنه أهمل في القيام بواجباته، أو كان غير مرغوب فيه لأي أسباب أخرى وجب على المقاول إبعاد هذا الفرد عن العمل على الفور إذا طلبت الدائرة أو مهندسها منه ذلك، وعليه أن يستبدل به فوراً آخر كفئاً ومرضياً، وإذا اقتضى الأمر إعادة الشخص المبعد عن العمل إلى وطنه تحمل المقاول كل ما ينجم عن ذلك من نفقات مهما كانت الأسباب ومهما كانت دواعي استدعائه في الأصل ولا يجوز للمقاول بسبب هذا الإجراء أن يتحلل من أي من التزاماته بالعقد أو أن يطالب بأي تعويض من جراء ذلك.
مادة (31)
عنوان المقاول ومكاتبه ومكاتب ومساكن المهندس
- يجب على المقاول أن يتخذ له عنواناً واضحاً وثابتاً في إمارة أبو ظبي، توجه إليه المراسلات والإشعارات وعليه إبلاغ الدائرة ومهندسها كتابةً بهذا العنوان وبأي تغيير قد يطرأ عليه وكل إشعار يرسل إلى هذا العنوان يعتبر تسليمه صحيحاً.
- ويجب على المقاول أن يعد في موقع العمل وعلى نفقته مكتباً لوكيله وموظفيه مجهزاً بما يلزم، ويجب أن يظل هذا المكتب مفتوحاً طوال ساعات العمل لتلقي الإشعارات وغيرها، كما ينبغي على المقاول توفير دورات مياه تتوافر فيها الشروط الصحية لموظفيه بموقع العمل كما يجب على المقاول أن يقيم على نفقته مكاتب مؤقتة في المكان الذي تختاره الدائرة ومهندسها بالموقع وكذلك مساكن مؤقتة لاستعمال المهندس المشرف على الأعمال إذا طلبت منه الدائرة ذلك، ويشرع المقاول في إقامة هذه المكاتب بمجرد التوقيع على العقد واستلام الموقع حتى تصبح جاهزة في أسرع وقت ممكن وتوافق عليها الدائرة.
- وعند انتهاء الأعمال يلتزم المقاول بإزالة هذه المكاتب أو المساكن ودورات المياه بمشتملاتها على نفقته إلا إذا نص في وثائق العقد على خلاف ذلك.
مادة (32)
الأعمال والمواد والمهمات المرفوضة
- إذا تبين للدائرة في أي وقت قبل الاستلام الابتدائي أن أي عمل من الأعمال موضوع العقد غير صالح في صناعته أو في مواده، أو أنه غير مطابق للمواصفات ويدخل في ذلك الأعمال والمواد التي أعطيت عنها شهادة دفع، فإن المقاول يكون ملزماً بما تراه الدائرة في شأنها من إصلاح أو ترميم أو إزالة أو تكسير أو إعادة إنشاء، على أن يكون ذلك على حساب المقاول ودون أن يكون له الحق في الرجوع على الدائرة بأية مصاريف ناشئة عن ذلك.
- وإذا كانت الأعمال كلها أو بعضها مغطاة أو غير ظاهرة للعيان، أو كانت غير تامة أو غير مصانة طبقاً لشروط العقد، وظهر بها نقص أو عيب ولم تكن معلومة للدائرة، كان لها الحق في أن تطلب من المقاول إجراء ما تراه بشأنها وعليه أن يقوم على حسابه بتنفيذ المطلوب بحيث تصبح الأعمال المذكورة صالحة من جميع الوجوه.
- وإذا لم يقم المقاول بتنفيذ التزاماته بموجب هذه المادة فإنه يحق للدائرة استخدام أشخاص آخرين لتنفيذها على حساب المقاول.
- ولا يجوز للمقاول المطالبة بتمديد مدة العقد بسبب أي تأخير قد ينشأ من جراء رفض الدائرة للأعمال أو المواد أو الأدوات، كما أن الدائرة لا تتحمل أية مطالبة من المقاول بقيمة أي من الأعمال أو المواد أو الأدوات المرفوضة أو مصاريف إزالتها.
مادة (33)
حوادث العمل
يجب على المقاول إخطار الدائرة أو المهندس بأي حادث في الموقع أو بالقرب منه، خاصةً إذا ترتب على هذا الحادث وفاة أو إصابة أشخاص أو إلحاق ضرر بالممتلكات مع تضمين الإخطار كافة التفاصيل وشهادة الشهود، كما يجب عليه إبلاغ السلطات المختصة بالدولة بأمر مثل هذه الحوادث.
مادة (34)
نقل المعدات والمواد عبر الطرق والجسور والممرات المائية
- على المقاول اتخاذ جميع الإجراءات والاحتياطات اللازمة لمنع إلحاق الضرر بأي من الطرق أو الجسور أو الممرات المائية الموصلة إلى الموقع من جراء مرور وسائل النقل الخاصة به أو بأي من مقاوليه من الباطن.
- وإذا وجد أنه من الضروري قيام المقاول بنقل حمولات كبيرة للموقع قد لا تتحملها الطرق أو الجسور أو الممرات المائية مما يعرضها للضرر أو التلف، عندئذ يتعين على المقاول قبل الشروع في النقل عبرها أن يقدم إخطاراً للمهندس بمقدار الحمولات المزمع نقلها ووزنها وباقي التفاصيل الأخرى عنها مع مقترحاته لحماية أو تقوية هذه الطرق أو الجسور أو الممرات المائية وإذا لم يبين المهندس للمقاول خلال أربعة عشر يوماً من تاريخ تسلمه لهذا الإخطار وجهة نظره بشأن هذه الحماية أو التقوية فعندئذ يقوم المقاول بتنفيذ هذه المقترحات على مسؤوليته وعليه أن يقوم بأية تعديلات قد يطلبها المهندس، وإذا خلت جداول الكميات والأسعار أو باقي مستندات العقد من الإشارة إلى أي بند يتضمن تسعير الأعمال الخاصة بالحماية أو التقوية المذكورة فإن التكاليف والمصاريف المترتبة على ذلك يتحملها المقاول كما لا يترتب على ذلك إعفاؤه من الالتزامات المترتبة عليه نتيجة مخالفة قوانين السير والمرور بالدولة.
- وإذا تسلمت الدائرة أثناء تنفيذ الأعمال أو في أي وقت لاحق على ذلك أية مطالبات بالتعويض عن الضرر أو التلف الذي لحق بالطرق أو الجسور أو الممرات المائية فعليها إخطار المقاول بذلك وعلى المقاول أن يقوم بتسوية هذه المطالبات ودفع المبالغ المستحقة دون أن يكون له حق الرجوع على الدائرة بأية مطالبة بهذا الشأن.
مادة (35)
ملكية المتحجرات والأثريات
- كل ما يكتشف في الموقع من أحياء متحجرة وقطع نقد معدنية وأثريات ومواد ذات قيمة اقتصادية وما شابهها وغيرها من البقايا أو الأشياء ذات الأهمية الجيولوجية أو الأثرية يعتبر فيما بين الطرفين ملكاً خالصاً للدائرة.
- وعلى المقاول أن يتخذ الاحتياطات المناسبة لمنع عماله أو أي أشخاص آخرين من الاستيلاء على هذه الأشياء أو إلحاق أي ضرر بها، كما أن عليه أن يبادر فور اكتشافها وقبل استخراجها أو نقلها إلى إبلاغ الدائرة باكتشافها وأن ينفذ على نفقة الدائرة ما تصدره من أوامر فيما يتعلق بكيفية التصرف فيها.
مادة (36)
الاستلام الابتدائي للأعمال وإخلاء وتنظيف الموقع
- يجب على المقاول بمجرد إتمام العمل أن يخلي الموقع من جميع الآلات والمعدات والمواد والأتربة والبقايا وأن يمهده وإلا كان للدائرة الحق بعد إخطاره بكتاب مسجل، في القيام بهذه الأعمال على حسابه، ويخطر عندئذٍ بالموعد الذي حدد لإجراء المعاينة، ويحرر محضر التسليم الابتدائي ويوقعه كل من مندوب الدائرة والمقاول أو مندوبه.
- وفي حالة عدم حضور المقاول أو مندوبه في الميعاد المحدد، تتم المعاينة ويوقع المحضر من مندوبي الدائرة وحدهم.
- وإذا ظهر من المعاينة أن العمل قد تم على الوجه المطلوب، اعتبر تاريخ إخطار المقاول للدائرة باستعداده للتسليم الابتدائي موعداً لانتهاء العمل وبدء مدة الصيانة.
- وإذا ظهر من المعاينة أن العمل لم ينفذ على الوجه الأكمل، فيثبت هذا في المحضر ويخطر به المقاول ويؤجل التسليم إلى أن يتضح أن الأعمال قد تمت بما يطابق الشروط وتبدأ مدة الصيانة من تاريخ المعاينة الأخيرة.
- أما إذا ظهر من المعاينة أن الجزء الذي لم ينفذ من الأعمال لا يمنع من الانتفاع بالعمل، فيتم الاستلام الابتدائي وتحجز قيمة النواقص من مستحقات المقاول على أن ينجزها خلال مدة لا تجاوز شهرين، وإلا قامت الدائرة بتنفيذها على حسابه مع خصم كافة التكاليف من مستحقاته، دون حاجة إلى تنبيه أو إنذار أو اتخاذ أية إجراءات قضائية.
- وتحتفظ الدائرة بالتأمين النهائي لحين انتهاء مدة الصيانة وإتمام التسليم النهائي.
الفصل السابع
المقاولون والموردون من الباطن
مادة (37)
المقاولون المعينون من الباطن
إذا تضمنت جداول الكميات والأسعار أو مواصفات العقد أسعاراً أولية أو مبالغ تقديرية مرصودة لمقاولين ترشحهم أو تختارهم الدائرة لتنفيذ بعض أعمال العقد فإنه يجب مراعاة ما يلي:
- لا يجوز للدائرة تسمية من يعترض المقاول على تسميته لأسباب معقولة ويجب أن يتضمن العقد المبرم بين المقاول الأصلي والمقاول من الباطن الشروط الآتية:
- أ. التزام المقاول من الباطن في العقد بنفس الالتزامات المترتبة على المقاول في العقد الأصلي وكذلك بكافة المطالبات المتعلقة بأي إهمال تسبب فيه المقاول المعين من الباطن أو العاملون التابعون له أو وكلاؤه أو بسبب سوء استخدامهم لأية تركيبات أو معدات أو آلات، وعليه أن يؤمن ضد هذه الاحتمالات وأن يقدم للدائرة وثيقة أو وثائق التأمين وإيصالات دفع أقساطها.
- ب. لا تعتبر أية مبالغ متعلقة بأعمال يشملها العقد الثانوي واجبة السداد إلا بعد أن يتسلمها المقاول بمقتضى شهادة الدفع المنصوص عليها في العقد الأصلي والتي تتضمن قيمة مثل هذه الأعمال.
- ج. أن يكون من حق المهندس دخول الورش وغيرها من الأماكن الخاصة بالمقاول المعين من الباطن.
- د. أن يكون من حق الدائرة أن تحل محل المقاول في تنفيذ العقد الثانوي المبرم مع المقاول المعين من الباطن وذلك إذا تقاعس المقاول عن تنفيذ هذا العقد الثانوي كله أو بعضه، وذلك دون الإخلال بمسؤولية المقاول المنصوص عليها في العقد.
- ويجب على المقاول أن يدفع المبالغ التي تستحق لمقاولي الباطن بموجب العقود الثانوية وذلك خلال أربعة عشر يوماً من تاريخ استلامه للدفعة المتعلقة بهذه المبالغ من الدائرة ولا يجوز أن يخصم منها سوى المبالغ المحتجزة التي يحق للمقاول خصمها طبقاً لهذه العقود.
- كما يجب قبل صرف أية دفعة للمقاول أن يقدم للمهندس الدليل الذي يثبت صرف استحقاقات المقاولين المعينين من الباطن والتي وردت في شهادة دفع سابقة في مواعيدها وفي حالة تقصير المقاول في القيام بذلك، فللدائرة الحق في سداد هذه الاستحقاقات لمقاولي الباطن المعينين، بمقتضى شهادات الدفع المعدة من قبل المهندس أو تخصم قيمة ما دفع بهذا الشأن من أية مبالغ تكون مستحقة أو تستحق الدفع للمقاول.
- وإذا كان المقاول يقوم في العادة بأعمال مماثلة للأعمال التي رصدت من أجلها أسعار أولية أو مبالغ تقديرية في جداول الكميات والأسعار أو المواصفات فله أن يتقدم بعطاء في المناقصة الخاصة بهذه البنود لاختيار مقاولي الباطن المعينين ولا يخل هذا بحق الدائرة في رفض أي عطاء ولو كان هو الأقل سعراً، وإذا قبل عطاء المقاول فليس له أن يسند هذه الأعمال إلى مقاول آخر من الباطن بغير موافقة الدائرة.
- كما أن سريان الأحكام المتقدمة أو تطبيقها أو ما تتضمنه الشروط الأخرى للعقد الثانوي من أحكام، لا تحمل الدائرة بأية التزامات قبل أي من المقاولين المعينين من الباطن إلا في حدود ما ورد بالعقد الثانوي المعتمد من الدائرة.
مادة (38)
الموردون المعينون من الباطن
إذا تضمنت جداول الكميات والأسعار أو مواصفات العقد أسعاراً أولية أو مبالغ تقديرية مرصودة لموردين يرشحهم أو تختارهم الدائرة لتوريد أية مواد أو سلع داخلة ضمن العقد كتجهيزات أو خلافه فإنه يجب مراعاة الآتي:
- تشمل هذه الأسعار الثمن الذي يدفع بعد استقطاع أية خصومات تجارية أو غيرها كما تشمل تكاليف التعبئة والنقل والتسليم بالموقع، فإذا تكبد المقاول نفقات تستلزمها تعبئة خاصة أو نقل معين بتوجيه من الدائرة فتصرف للمقاول هذه النفقات بعد موافقة الدائرة.
- يعتبر جميع الأخصائيين والتجار وأصحاب الحرف وغيرهم المعينين من قبل الدائرة لتوريد مثل هذه المواد أو السلع موردين للمقاول ويطلق عليهم (موردون معينون من الباطن)، وكافة المبالغ التي يدفعها المقاول مقابلها يجب أن تدفعها له الدائرة خلال مدة 45 يوماً من تاريخ تقديم المهندس لشهادة الدفع المتضمنة وجود هذه المواد والسلع بالموقع.
- تسري باقي الأحكام الخاصة بالمقاولين المعينين من الباطن والموضحة بالمادة السابقة على الموردين المعينين من الباطن فيما لم يرد بشأنه حكم خاص بهذه المادة.
مادة (39)
المقاولون والموردون غير المعينين من الباطن
- في غير الحالات الخاصة بالمقاولين والموردين المعينين من الباطن، يجوز للمقاول أن يعهد بجزء من الأعمال أو التوريدات الداخلة في نطاق العقد إلى مقاولين أو موردين من الباطن بمعرفته بشرط موافقة الدائرة الكتابية، ولا يجوز للمقاول أن يعهد بكامل أعمال العقد إلى مقاولين من الباطن ولا تعفي موافقة الدائرة المقاول من التزاماته بموجب هذا العقد ويظل مسؤولاً عن كافة أعمال المقاولين والموردين من الباطن.
- كافة الحقوق والالتزامات فيما بين المقاول ومقاوليه ومورديه من الباطن يحكمها العقد المبرم بينهما.
الفصل الثامن
مادة (40)
التنازل عن العقد
- لا يجوز للمقاول التنازل عن العقد أو عن المبالغ المستحقة له كلها أو بعضها، إلا بعد أخذ موافقة الدائرة كتابةً، ويجب أن يكون مصدقاً على التوقيعات الواردة في التنازل، ومع ذلك يجوز أن يتم التنازل عن المستحقات كلها أو بعضها لأحد المصارف بغير التصديق على التوقيعات.
- وفي حالة التنازل عن العقد يبقى المقاول مسؤولاً بطريق التضامن مع المتنازل إليه عن تنفيذ العقد، كما لا يخل قبول نزوله عن المبلغ المستحق له بما يكون للدائرة قبله من حقوق.
الفصل التاسع
الجزاءات
مادة (41)
غرامة التأخير
- إذا لم يقم المقاول بتنفيذ الأعمال المعهودة إليه في المواعيد المحددة بهذا العقد أو في موعد أمر التمديد الصادر إليه من الدائرة، توقع عليه غرامة تأخير قدرها.... درهم يومياً.
- ولا يجوز أن تزيد قيمة الغرامات في مجموعها على 10% من إجمالي قيمة العقد، وتستحق الغرامة بمجرد حدوث التأخير وبدون الحاجة إلى تنبيه أو إعذار أو اتخاذ أية إجراءات قضائية وبدون حاجة إلى إثبات الضرر الذي يعتبر في جميع الأحوال مفترضاً.
- ولا يدخل في حساب المدة التي تحسب عنها الغرامة فترة التوقف عن العمل إذا ثبت أنها ناتجة عن أسباب قهرية أو بمقتضى أوامر من الدائرة وللدائرة الحق في أن تستقطع قيمة الغرامة الموقعة من أية مبالغ تكون مستحقة أو تستحق الدفع للمقاول مستقبلاً أو من التأمين النهائي، ويكون إعفاء المقاول من غرامة التأخير أو جزء منها بناءً على طلب كتابي يقدمه المقاول خلال أربعة عشر يوماً من تاريخ استلامه قيمة الدفعة المستقطع منها غرامة التأخير، ويكون هذا الطلب مؤيدًا بالمستندات الدالة على أن فترة التأخير أو جزءاً منها قد حدثت لظروف خارجة عن إرادته.
- ولا تخل الأحكام المشار إليها في الفقرات السابقة بالامتيازات المقررة للمقاول المواطن.
مادة (42)
الإنذار
إذا ارتكب المقاول أية مخالفة لأحكام هذا العقد، ورأى تنبيهه إلى هذه المخالفة بقصد تداركها وعدم تكرارها مستقبلاً، قامت الدائرة بإنذاره كتابة بذلك وعلى المقاول أن يقوم بتدارك هذه المخالفة خلال سبعة أيام من تاريخ إبلاغه أو إبلاغ مهندسه بالإنذار وإلا وقعت عليه الجزاءات المقررة في هذا العقد، وإذا تكررت مخالفته لأحكام هذا العقد ثلاث مرات جاز للدائرة سحب العمل منه مع ما يترتب على ذلك من آثار.
مادة (43)
سحب العمل
(أ) حالات سحب العمل يحق للدائرة سحب العمل من المقاول وذلك بموجب إخطار بكتاب مسجل بعلم الوصول ترسله الدائرة للمقاول على عنوانه الموضح بهذا العقد، وبدون حاجة إلى إنذار أو الالتجاء إلى القضاء وذلك في أي من الأحوال التالية على سبيل المثال لا الحصر:
- إذا تأخر في البدء في العمل أو أظهر بطئاً في سيره لدرجة ترى معها الدائرة أنه لا يمكن إتمام العمل في الموعد المحدد.
- إذا أوقف المقاول العمل كليةً مدة تزيد على خمسة عشر يوماً متصلة بدون سبب معقول تقبله الدائرة.
- إذا انسحب من العمل أو تركه.
- إذا أخل بأي شرط من شروط العقد أو أهمل أو أغفل القيام بأي من التزاماته المقررة بالعقد ولم يباشر إصلاحها خلال خمسة عشر يوماً من تاريخ إبلاغه الإنذار من الدائرة بذلك.
- إذا استعمل الغش أو التلاعب في تعامله مع الدائرة.
- إذا قدم رشوة صريحة أو مستترة أو شرع في تقديمها لموظف عام له علاقة بهذا العمل أو للمهندس الاستشاري أو أحد معاونيه، أو عرض على هؤلاء أو أعطاهم أية هبات أو مكافآت أو هدايا بقصد إغرائهم على القيام بعمل أو الامتناع عن عمل إضراراً بالدائرة.
- إذا أفلس المقاول أو أعسر أو ارتكب عملاً يؤدي إلى إفلاسه أو إعساره.
- في حالة التصفية إذا كان المقاول شركة.
- في حالة تجاوز غرامات التأخير المترتبة على تأخير التنفيذ، الحد الأقصى المقرر لها.
- إذا رفض أو تجاهل تنفيذ التعليمات الصادرة له من المهندس بدون مبرر معقول يقدمه كتابةً للدائرة في حينه.
- إذا قام بالتنازل عن العقد أو أي جزء منه بدون موافقة الدائرة.
- إذا أخل بأي شرط من شروط مقاطعة إسرائيل. (*)
(*) تم إلغاء هذه الفقرة بموجب مرسوم بقانون اتحادي رقم (4) لسنة 2020 بإلغاء القانون الاتحادي رقم (15) لسنة 1972 في شأن مقاطعة إسرائيل.
مادة (44)
(ب) الآثار المترتبة على السحب
يترتب على سحب العمل ما يأتي:
- تقوم الدائرة بعمل جرد وحصر للأعمال التي تمت والآلات والأدوات والمهمات والمواد والتشوينات التي استحضرها المقاول بالموقع ويتم هذا الجرد خلال 15 يوماً من تاريخ إخطاره بالسحب وبميعاد الجرد بكتاب مسجل بعلم الوصول.
ويحرر محضر الجرد بحضور كل من الطرفين أو من يمثلهما.
ويوقع هذا المحضر كل من ممثلي الطرفين، فإذا لم يحضر المقاول أو مهندسه أو رفض التوقيع على محضر الجرد أثبت ذلك بالمحضر ويخطر به المقاول على عنوانه المبين في العقد فإذا لم يبد المقاول ملاحظاته كتابةً للدائرة خلال سبعة أيام من تاريخ وصول هذا الإخطار، كان ذلك بمثابة موافقة من المقاول على صحة الجرد ويكون قرار الدائرة نهائياً بشأن أية اعتراضات أو ملاحظات يبديها المقاول بهذا الشأن. - احتساب غرامة التأخير طبقاً للعقد وحتى تاريخ إبلاغ المقاول بقرار السحب.
- أن تقوم الدائرة بنفسها بتنفيذ الأعمال التي لم تتم كلها أو بعضها على حساب المقاول أو أن تطرح الأعمال المتبقية في مناقصة جديدة أو يعهد بتنفيذها إلى أحد المقاولين بطريق الممارسة مع تحميل المقاول بفرق السعر كما لا يحق له الاستفادة من أي وفر يتحقق، ويتحمل المقاول المصاريف الإدارية المترتبة على هذه الإجراءات والتي تقدر بـ 10% من قيمة الأعمال التي لم يقم المقاول بتنفيذها.
- يكون للدائرة حق طرد المقاول من الموقع واحتجاز كل ما يوجد بموقع العمل من منشآت وقتية ومبانٍ وآلات وأدوات ومواد وسلع وخلافه وأن تستعملها في إتمام العمل دون أن تكون مسؤولة قبل المقاول أو غيره عنها وعما قد يصيبها من تلف أو نقص لأي سبب كان أو دفع أجر عنها، ولها أن تحتفظ بهذه المنشآت والمباني والآلات والأدوات والمواد والسلع حتى بعد انتهاء العمل ضماناً لحقوقها، ولها أن تبيعها دون أن تسأل عن أية خسارة قد تلحق بالمقاول من جراء ذلك كما يكون لها حق استرداد كافة ما تكبدته من مصروفات ونفقات زيادة على قيمة العقد من أية مستحقات للمقاول لدى الدائرة أو لدى أية جهة حكومية أخرى، بالإضافة إلى حقها في المطالبة بالتعويض عن الضرر الذي يكون قد لحق بها.
- أن تقوم الدائرة بسحب الكفالات المصرفية وإيداعها لحساب الحكومة لحين التسوية النهائية لحسابات المقاول.
- جواز حلول الدائرة محل المقاول في أية اتفاقية يكون قد قام بها المقاول وتتعلق بتوريد مواد أو تنفيذ أعمال داخلة في نطاق هذا العقد.
- يوقف صرف أية مبالغ محجوزة للمقاول أو أية مستحقات له حتى تتم التسوية النهائية لحسابات المقاول.
- يتم عمل التسوية لحسابات المقاول وتدفع له المبالغ المستحقة بعد استيفاء الدائرة لكافة المستحقات والمبالغ المترتبة على سحب العمل وإذا تبقى على المقاول أية مبالغ مستحقة للدائرة فيكون لها حق استيفائها من أية مستحقات أخرى للمقاول لديها ولدى أية جهة حكومية أخرى.
- لا تخل الأحكام السابقة بحق الدائرة في شطب اسم المقاول الذي سحب منه العمل من سجل المقاولين لديها أو وقف التعامل معه لمدة محددة تقدرها الدائرة.
الفصل العاشر
مادة (45)
إنهاء العقد
يجوز للدائرة في أي وقت ولأسباب تتعلق بالمصلحة العامة إنهاء هذا العقد بموجب كتاب مسجل بعلم الوصول ترسله للمقاول على عنوانه بالعقد وذلك دون أي اعتراض منه، وتسوى مستحقات المقاول حتى تاريخ إبلاغه إخطار الإنهاء ويحق للمقاول المطالبة بتعويض عن هذا الإنهاء إذا كان له مقتض، ويحدد مقدار التعويض باتفاق الطرفين، فإذا تعذر الوصول إلى اتفاق، يلجأ الطرفان إلى التحكيم طبقاً للمادة (46).
الفصل الحادي عشر
مادة (46)
حسم المنازعات
- إذا حدث خلاف بين الدائرة والمقاول، فيحال هذا الخلاف إلى الاستشاري أو المهندس المعين من قبل الدائرة في حالة عدم وجود استشاري لتسوية النزاع ودياً بين الطرفين.
- وإذا لم تتم التسوية الودية، فتحال إلى التحكيم كافة المنازعات الناشئة عن تطبيق هذا العقد أو تفسير بنوده.
- وتشكل هيئة التحكيم برئاسة قاضٍ يختاره وزير العدل، ويختار كل طرف عضواً واحداً له، ويصدر قرار هيئة التحكيم بأغلبية الأصوات ويكون القرار ملزماً للطرفين، وفي حالة تعذر الوصول إلى اتفاق بالأغلبية بين المحكمين تتولى المحكمة المختصة في إمارة أبوظبي الفصل في النزاع وتلتزم هيئة التحكيم بأحكام هذا العقد وبالقوانين والأنظمة المعمول بها في إمارة أبوظبي ودولة الإمارات العربية المتحدة.
الفصل الثاني عشر
أحكام عامة
مادة (47) (*)
مقاطعة إسرائيل
على المقاول مراعاة التقيد بأحكام القانون الاتحادي رقم (15) لسنة 1972 بشأن مقاطعة إسرائيل، وكافة التعديلات التي قد تطرأ عليه وكذلك اللوائح والقرارات والأنظمة الأخرى المتعلقة بمقاطعة إسرائيل.
مادة (48)
السرية
لا يحق للمقاول بدون موافقة كتابية مسبقة من الدائرة أن يفضي للغير بأية معلومات تتعلق بهذا العقد ولا أن ينشر أو يذيع أية بيانات عنه بأية وسيلة ولا أن يعطي أية مستندات أو صور منه.
مادة (49)
ملكية المستندات
تعتبر جميع الوثائق المتعلقة بهذا العقد ملكاً خالصاً للدائرة، ويحق لها استعمالها في أية أعمال أخرى خارج نطاق هذا العقد، ولا يحق للمقاول استعمال أي من هذه الوثائق خارج نطاق هذا العقد.

مادة (50)
إدخال شركاء آخرين
يجوز للمقاول إدخال شركاء آخرين له بشرط موافقة الدائرة الكتابية المسبقة عليهم، وفي هذه الحالة يكون هؤلاء الشركاء متضامنين مع المقاول في تنفيذ كافة الالتزامات المترتبة عليه بناءً على هذا العقد.
مادة (51)
الآثار المترتبة على وفاة المقاول
- إذا توفي المقاول جاز للدائرة إنهاء العقد، مع رد التأمين النهائي للورثة إذا لم يكن عليه التزامات للدائرة، ويجوز لها السماح للورثة بالاستمرار في تنفيذ العقد، على أن يعينوا وكيلاً عنهم توافق عليه الدائرة.
- وإذا كان التعاقد مع أكثر من مقاول وتوفي أحدهم، جاز للدائرة إنهاء العقد ورد التأمين النهائي بعد استيفاء كافة مستحقاتها، أو مطالبة باقي المقاولين بالاستمرار في تنفيذ العقد.
- ويكون إنهاء العقد في الحالتين بموجب كتاب مسجل بعلم الوصول دون حاجة إلى اتخاذ أية إجراءات أخرى أو الالتجاء إلى القضاء.
مادة (52)
القواعد المكملة للعقد
- تسري فيما لم يرد بشأنه نص خاص في هذا العقد، القواعد العامة للمعاملات المدنية والإدارية والتجارية والأحكام العامة للتعاقد والقوانين والأنظمة المعمول بها في إمارة أبوظبي ودولة الإمارات العربية المتحدة.
- ولا تخل أحكام هذا العقد باختصاصات لجنة المشاريع العامة أو أية جهة أخرى ذات اختصاص مماثل.
مادة (53)
اللغة

Contracting
General Conditions of the Contract
Definitions
First: In the context of this contract, the following words and phrases shall have the meanings assigned to each, unless the context indicates otherwise:

| The Engineer | The engineer appointed by the Department of........... the employer (the First Party) to supervise the execution of the works subject to the contract, or the consulting engineer commissioned by the Department to supervise the execution of the works subject to the contract. |

| The Works | The works to be executed in accordance with the terms of this contract. |
| The Contract | All contract documents in their four parts, which are the tender documents and the contract, the general and special conditions of the contract, the general and special specifications, and the drawings, designs, and exchanged correspondence. |
| Approved | Approved in writing by the Department. |
| Drawings and Designs | The approved drawings and designs for the project referred to in the documents and technical specifications, and any modifications approved by the Engineer in writing, as well as any other drawings that the Engineer may provide from time to time or approve in writing. |
| The Site | The lands and other places on, under, in, or through which the works are to be executed or carried out, and any other lands or places provided by the First Party in connection with this contract, along with other places specifically stated in the contract to be part of the Site. |

Second: The titles of the articles in this contract are for ease of reference to the provisions of the contract and have no effect on the interpretation of the articles of this contract.
Chapter One
Scope of the Contract
Article (1)
This contract includes the construction, completion, and maintenance of all required works during the period specified in the contract, and the supply of all materials, machinery, equipment, means of transport, labor, construction equipment and plant (workshop), and everything necessary for the completion of the works in the best manner, whether of a permanent or temporary nature, as detailed in the contract documents, in their four parts which are considered a single unit:
- Tender documents and the contract.
- General and special conditions of the contract.
- General and special specifications.
- Drawings, designs, and exchanged correspondence.
Chapter Two
Contract Execution Period
Article (2)
Determination of the Contract Period
- The contract execution period is determined as specified in the first part of the contract documents, and this period begins from the date of handing over the site to the contractor under a protocol signed by both parties. If the contractor or his representative does not attend the site handover on the specified date, a protocol will be drawn up to that effect and a copy will be sent to him. This date will be considered the start date for the execution of the work, and the execution period will include Fridays, official holidays, and other public holidays.
- The contractor must complete all the works entrusted to him under this contract, including amendments and additions ordered by the Department, within the specified period for the execution of the works. If the scheduled completion date for the works according to the contract falls on an official holiday, this date will be automatically extended by the duration of the official holiday without imposing a delay penalty.
Article (3)
Extension of Time for Completion of Works
- The Department may extend the completion date of the works for a suitable period if it deems, at its discretion, that the delay in completing the works is due to one of the following reasons:
- a. Force majeure.
- b. Exceptionally severe weather.
- c. Loss or damage caused by fire, which the contractor or any of his employees or workers did not cause.
- d. Civil commotion, local combination of workmen, strike, or lockout affecting the execution of the works, unless the contractor is the cause thereof.
- e. The contractor's execution of the Engineer's instructions in accordance with Article (17) of these conditions. The contractor's failure to receive in due time necessary instructions which he had requested in writing from the Engineer.
- f. Delay by the Department or nominated subcontractors or suppliers in supplying materials or goods they were committed to supplying, provided that the Engineer considers that the contractor has taken all possible steps to avoid or reduce this delay.
- In all cases, the contractor must notify the Engineer immediately upon the occurrence of the event causing the delay. However, the contractor must make every effort to avoid the delay.
Article (4)
Stoppage of Work Due to Violation of Contract Provisions
If the contractor violates any condition of the contract or work specifications or neglects their implementation, the Engineer may order the stoppage of new work in the part or parts affected by the contractor's violation or neglect until its effects are rectified. The contractor shall not be entitled in this case to request an extension of the specified completion time, nor to claim compensation for the work stoppage or exemption from delay penalties.
Chapter Three
Financial Consideration for the Contract Works
Article (5)
What the Financial Consideration of the Contract Includes
- The total value of the contract is determined as specified in the first part of the contract documents. This value includes the construction, completion, and maintenance of all required works, the supply of all materials, machinery, equipment, transportation, wages, and everything necessary for the complete and proper execution of the work as detailed in the four parts of the contract documents and records.
- The unit price shown in the bills of quantities and individual prices in the first part of the contract documents includes the costs of labor, materials, manpower, administrative expenses, profits, and everything necessary for the execution, completion, and maintenance of the works in accordance with the conditions, drawings, and designs specified in this contract.
Article (6)
Payment Certificates
- At the end of each month, the contractor shall submit to the Engineer statements of payments due to him, signed by him, showing the quantities and value of the executed works, as well as the quantities, value, and type of materials stored on site that will be incorporated into the works to be executed in the future. These statements shall be in one original and six copies, signed by the contractor or his agent. The Engineer shall verify them and attach the payment certificate.
- For works priced on the basis of quantities and unit prices, the value of the works actually executed shall be calculated, whether the increase or decrease results from an error in the calculation of the bills of quantities or from changes made to the work in accordance with any right vested in the concerned Department under the provisions of the contract.
- For works priced on a lump-sum basis, the value of the executed works shall be calculated based on the ratio of the works actually executed to the total works required to be executed.
- Without prejudice to the privileges granted to the national contractor, periodic payments shall be made to the contractor within 45 days from the date the Engineer submits the payment certificate, amounting to 90% of the contractual value of the executed works. He shall also be paid 75% of the value of materials stored on site that conform to the specifications and will be incorporated into the required works, as deemed appropriate by the Engineer. The value of these stored materials shall be determined at the time they are brought to the site in a timely manner, not before, provided they are stored securely and measures are taken to protect them from weather fluctuations and other hazards, all at the contractor's expense and responsibility.
- Upon completion of the works and their preliminary handing over in accordance with Article (35) of these conditions, the Engineer shall prepare the final payment certificate after the final measurement of the works in conjunction with the contractor or his engineer. The final dues of the contractor shall be determined after deducting his obligations or claims, as well as payments previously made to him, and the remainder shall be paid to him.
- After the maintenance guarantee period ends and the Engineer submits the report indicating that the contractor has performed the maintenance works, fulfilled his obligations, and the final acceptance is completed, the Department shall issue the final acceptance certificate, which is signed by the contractor, and the bank guarantee for the final insurance or what remains of it shall be returned to him.
- The Engineer has the right to make any correction or amendment to the value of any previous payment certificate when reviewing any subsequent certificate. He may reject any certificate submitted by the contractor if it appears to him that the works subject to the certificate, in whole or in part, are unsatisfactory. He may also deduct the value of damaged materials, as well as the value of supplies, equipment, and machinery supplied by the Department to the contractor for use in the execution of the works, which were lost, damaged, or spoiled due to misuse or any other reason.
Chapter Four
Variation of the Contract
First: Variation of Amounts and Quantities
Article (7)
In Case of Contracting on a Lump-Sum Basis
- The total lump-sum value that the contractor included in his bid is considered comprehensive and covers the completion of all contract works, the price of necessary materials and goods, labor wages, administrative expenses, profits, and others.
- The Department reserves the right to vary all that the contract includes by an increase or decrease within 20% of its total value. The contractor will be paid on the basis of the original contract prices without having the right to object or claim any compensation. In implementation of this, the Department may vary the type, quantities, weights, and dimensions of the works shown and described in the contract documents, or order the omission of any work or the rest of the contract items or part thereof with or without replacing it with another work, or order the addition of new works. It has, in particular, the right to change the levels and layout, or issue new or different drawings or specifications. The contractor must follow and execute such variations as if they were in the original contract, and these variations do not diminish the contractor's responsibility to carry out the work as required.
- The contractor is not entitled to make any variation to the works shown in the contract documents without obtaining the Department's written approval. He also has no right to claim any payment for any change or addition he has made without obtaining the said approval.
- The Department may exceed the aforementioned 20% limit if the increase is necessary to complete the project. The unit prices exceeding this percentage will be agreed upon with the contractor. In case of disagreement, the prices will be determined according to the procedures outlined in Article (46) of these conditions urgently, with the contractor continuing the work without interruption.
- If the Department gives the contractor orders requiring some variations, the Engineer will measure and evaluate these variations and must give the contractor the opportunity to be present during the measurement and provide him with a copy of the priced variation schedules before the Engineer issues the payment certificate for these variations.
Variations will be evaluated according to the following rules:
The priced bills of quantities, unit prices, and analytical schedules shown in the first part of the contract documents shall be used as a basis for evaluating additional works that are similar in type, specifications, and execution conditions to the works shown and priced in the said schedules, provided that the value of these works does not exceed 20% of the original contract value. In cases where an increase in the contract value exceeds 20%, the Department and the contractor will agree on the adjusted price as explained above.- a. If the additional works are not similar in type, specifications, or execution conditions to what was included in the original contract, the prices listed in the daywork schedules shall be used as a basis for evaluating these works as far as possible, by agreement between the two parties, with the contractor continuing the work without interruption.
- b. The omitted parts will be evaluated according to the prices in the bills of quantities, unit prices, and analytical schedules in the first part of the contract documents. If this omission results in a decrease of more than 20% of the total value and this causes a fundamental change in the execution conditions of the remaining parts, the contractor may claim compensation for that.
Article (8)
In Case of Contracting on the Basis of Quantities and Unit Prices for Each Item Separately
- Without prejudice to the provisions of the preceding article, if the contract is made on the basis of unit prices for each item separately and the quantity of each item is specified in the bills of quantities and prices in the first part of the contract, the quantities listed in these bills are considered approximate and subject to increase or decrease. The basis for payment will be the final quantities actually executed on site. The purpose of these quantities is to indicate the general scope of work, and the amount paid to the contractor will be based on the quantities actually executed, whether the variation in quantities results from the application of the contract drawings and specifications or from changes made to the work under any right granted to the Department according to the provisions of this contract. It is assumed that the contractor has himself verified the accuracy of the said quantities in general, and despite any inaccuracies found in these quantities, each category listed in the bills of quantities and prices will be binding on the contractor during the execution of the contract and will not be subject to revision due to differences in quantities or for any other reason.
- The works shall be measured by the Engineer progressively during the course of the work in conjunction with the contractor or his engineer, and both shall sign for the accuracy of the quantities and weights. If the contractor or his engineer fails to participate in the measurement process after being notified in advance, the contractor shall be bound by the measurements and weights made by the Engineer. In all cases, any disagreements between the Engineer and the contractor or his engineer shall be referred to the Department for a decision.
Second: Variation of Execution Period
Article (9)
In Case of Contracting on the Basis of Quantities and Unit Prices
- If the variations in the quantities of the contract works exceed 20% of the total contract value, and this is due to the inaccuracy of the quantities stated in the contract, the contractor, if he believes that these variations will result in the inability to complete the work within the execution period specified in the contract, or an increase in expenses, or cause him harm, must request in writing from the Department within 14 days from the date of being notified of the new variations, an extension of the contract execution period or compensation for the additional expenses, as the case may be.
- The Department has the right to grant the contractor what it deems appropriate at its absolute discretion. When the Department calculates the additional expenses incurred by the contractor, the Department has the right to consider any savings to the contractor resulting from any variation to the contract. The approval of an extension of the contract execution period is not valid unless it is issued in writing by the Department.
- The contractor is not entitled to claim an extension of the contract execution period or to receive any additional amount or compensation due to any variation in the quantities of the contract works if he does not submit his request in the manner and within the period specified above.
- If these variations in quantities result from an order issued by the Department for additional works under the powers granted to it in this contract and the order does not include a suitable additional period for its execution, the contractor may request an extension of the execution period as referred to in paragraph (1) of this article.
Article (10)
In the case of contracting on a lump-sum basis, the provisions of paragraph (4) of Article (9) shall apply if the contract is made on a lump-sum basis.
Chapter Five
Securities and Guarantees
First: Securities
Article (11)
Performance Bond
- The contractor must, within a period not exceeding 21 days from the date of being notified of the award of the tender, provide the performance bond for the contract at a rate of...% of the total contract value by means of an unconditional bank guarantee from a bank operating in the Emirate of Abu Dhabi, acceptable to the Department. The validity of this guarantee shall commence from the date of its issuance until the date of completion of the final handover. The contractor must renew the validity of this guarantee until all the works subject to the contract are completed and accepted by the Department, and finally received, and the financial settlement is made. This guarantee must be irrevocable for both the original period and the renewal period.
- The contractor must keep the bid bond valid until he provides the performance bond. If the contractor fails to provide the performance bond on time and in the manner referred to in the preceding paragraph, the Department shall, upon the expiry of the said period, have the right to confiscate the bid bond or execute the project at his expense, holding him liable for the difference in price plus 10% of the total value of the new contract as administrative expenses. All these amounts shall be recovered from the contractor's dues with the Department or with any governmental body, public institution, or any entity in which the government has a capital share, without the need for any legal procedures. In addition, the Department has the right to remove his name from its register of contractors.
- The performance bond must be in its full value payable to the Department in cash and immediately by the guaranteeing bank upon a written request and without the need to take any legal procedures or resort to the judiciary. The contractor is obliged to supplement the value of the performance bond to its prescribed limit if the Department recovers any of its dues from it, as well as if the value of the contract increases as a result of change orders or otherwise, the contractor is obliged to supplement the performance bond to the equivalent of ...% of the total value of the required works after the increase.
Article (12)
Insurance of the Contract Works
- The contractor must, at his own expense or through his subcontractors, before commencing the works, insure in his name and for the benefit of the Department all executed works as well as materials and goods on site for their full value against loss and damage resulting from fire, risks, and other damages, with a national insurance company approved by the Department. He must keep this insurance valid until the final handover of the works is completed and must deposit the insurance contracts and receipts of premium payments with the Department. If the contractor fails to do so, the Department may do so and pay the due premiums, deducting them from the contractor's dues.
- The contractor must proceed with sufficient diligence to repair, rebuild, or replace the works, goods, and materials that have been damaged or harmed. In this case, the Department shall return the insurance documents to the contractor upon certificates from the Engineer.
- The contractor is not entitled to any amounts related to the repair, rebuilding, or replacement of the damaged works, materials, and goods other than the amounts paid under the insurance policies.
Article (13)
Insurance for Workers and Third Parties
The contractor must, before starting the works and as indicated in the previous article, insure against death or injury to any of his employees, workers, or other people, or damage to government or third-party property caused by the progress of the work. The contractor is solely responsible for any death, injury, or damage of any kind, whether arising from his personal negligence or the negligence of his agents, workers, and those he employs during the course of the work.
Second: Guarantees
Article (14)
Maintenance Guarantee
- The contractor guarantees the works subject to this contract and their proper execution in the most complete manner and their maintenance for a period of.... from the date of preliminary acceptance of all works, or a part thereof that has been preliminarily accepted separately. He is responsible for keeping all works intact during this period. If any defect or fault appears, the contractor shall repair it at his own expense at the time specified by the Department.
- If the contractor fails to carry out the repairs as mentioned, the Department has the right to execute these repairs in the manner it sees fit at the contractor's expense and responsibility. The Department also has the right to deduct the costs of these repairs from the performance bond or any other dues of the contractor with the Department or any other government entity, without the contractor having the right to object to the method of execution or the value of the repair costs.
Article (15)
Final Acceptance Certificate
- The contractor must, a suitable time before the end of the maintenance period, notify the Department in writing to set a date for inspection. When it becomes clear to the Department that the works subject to the contract have been fully executed and maintained in good condition and that the contractor has fulfilled all his obligations, these works will be finally accepted by a certificate in three copies signed by the representatives of the Department and the contractor. If the inspection shows that the contractor has not fulfilled some of the required obligations, the final acceptance will be postponed until these obligations are fulfilled.
- Upon completion of the final handover, the final account will be settled.
Article (16)
Works Guarantee
Notwithstanding the issuance of the final acceptance certificate after the end of the maintenance period and the settlement of all accounts for this contract, the contractor remains responsible for a period of ten years from the date of preliminary acceptance for any defect or fault that may appear in the essential parts of the building, whether foundations, load-bearing walls, concrete structure, and the like, as a result of any fraud or negligence by the contractor, and for any damage that may result from this defect or fault.
Chapter Six
Progress of Work During Execution
Article (17)
Work Program
- The contractor must, within two weeks from the date of signing this contract, submit to the Department a clear and detailed program for the stages of executing the works, dividing the works into sections and items, and showing the order he will follow to execute the work in each section and item, provided that the duration of this program does not exceed the period specified in the contract. This program will not be implemented until it is approved in writing by the Department.
- No modification may be made to the approved program without the Department's written approval. The Department has the right to introduce any modification to this program as it deems necessary for the benefit of the work, without this modification entitling the contractor to claim any compensation. The Department's approval of the work program or the modification it introduces does not affect the contractor's obligation to execute the works on the specified date, nor his responsibilities regarding the safety, correctness, adequacy, and sufficiency of the methods used in execution and the equipment used.
Article (18)
Engineer's Instructions
- The contractor must execute the works in a manner satisfactory to the Engineer supervising the execution of the works. The Engineer may issue from time to time such additional drawings, instructions, directions, and clarifications as he deems appropriate, all of which shall be referred to as (Engineer's Instructions). These instructions include, but are not limited to, the following:
- a - Change in the design or in the type and amount of works.
- b - Decision on any discrepancy between the execution drawings and the specifications.
- c - Removal of any materials from the work site that the contractor has brought to it and bringing other substitute materials approved by the Engineer.
- d - Re-execution of any work done by the contractor that the Engineer has not approved.
- e - Postponement of the execution of any work decided to be executed under this contract.
- f - Immediate removal of any undesirable person from the work at the site.
- g - Repair of defective works.
- h - Uncovering any covered work for inspection.
- i - Requesting testing of works or materials.
- The contractor must follow and execute without delay and with all accuracy the instructions issued to him by the Engineer. He must also notify the Engineer in detail of all matters related to the works and the materials necessary for the project.
- If the Engineer issues verbal instructions, directions, or clarifications to the contractor that entail a change, the Engineer must confirm them in writing. If he does not, the contractor must request confirmation of these instructions, directions, or clarifications in writing to the Engineer within seven days of their issuance. If the Engineer does not contradict them in writing to the second party within another seven days, the verbal instructions, directions, or clarifications shall be considered as if they were issued in writing by the Engineer.
Article (19)
Drawings, Designs, Specifications, and Bills of Quantities
- The drawings, designs, and bills of quantities shall remain in the possession of the Engineer so that they can be referred to at all appropriate times by the parties to the contract. The Department shall, upon signing the contract, provide the contractor with a copy of these drawings and bills of quantities free of charge. It shall also provide him with other drawings that may be needed to enable him to carry out all the Engineer's instructions, and also provide him with any other details that the Engineer deems necessary for the execution of a part of the works.
- The contractor must keep these drawings, specifications, and bills of quantities at the worksite so that they are available to the Engineer or his representative at all appropriate times. Upon receiving the final payment, the contractor must immediately return all drawings bearing the Department's name to it. The contractor may not use any of these documents for any purpose outside the scope of this contract, nor may he disclose any of the information contained in the price schedules or use it except for the purposes of this contract.
Article (20)
Setting Out Works and Levels
- The contractor must, before starting execution, carry out the setting out with all accuracy. The Engineer will review this setting out. The contractor is solely responsible for carrying out all setting out works and for their correctness, and for reviewing the dimensions and levels shown on the drawings and designs and for the correctness of their data on the ground. The Engineer's approval or his participation with the contractor in the setting out does not relieve the contractor of his absolute responsibility for the setting out.
- The Engineer will give the contractor a point with a known level (benchmark) or a reference point. The contractor must verify this level and check for any error he believes the Engineer may have made. The contractor is responsible for establishing a series of levels from the given level, and he is charged with carrying out all works according to the required levels shown on the drawings and designs. The contractor must measure the elevations from the given point or from levels defined by fixed marks that he makes.
Article (21)
Operations of Materials, Goods, and Workmanship
- The contractor is obliged to ensure that all materials, goods, and workmanship conform to the specifications set out in the contract documents.
- As for special equipment and fittings, they must meet their manufacturing conditions and be consistent in type, origin, and brand as specified by the contractor in his offer and approved by the Department. The contractor must submit to the Engineer samples of the materials and goods he intends to use for approval before supply. If the Engineer does not approve them, the contractor must submit other substitute samples that conform to the specifications and are approved by the Engineer.
- The contractor must carry out the tests and analyses that the Engineer requests for any of the materials at his own expense to ensure that these materials conform to the specifications. If the contractor requests that the tests and analyses be repeated and the Department accepts his request, the expenses will be at the contractor's expense. The Department may have them repeated a third time, and this last result will be the one relied upon. If the result of the third analysis matches the result of the first analysis, the contractor will bear the costs; otherwise, the Department will bear the costs of the third analysis.
- The Department may, in case of necessity, accept the use of substitute materials for those specified in the contract, provided that these substitute materials are similar in quality and type to these materials and conform to the general and special specifications, and provided that they are approved by the Engineer. The contractor in this case is not entitled to claim any increase in prices, but the Department is entitled to deduct the value of the decrease in prices resulting from this, as estimated by the Department, without objection from the contractor.
- The Department will supply all materials, goods, and equipment specified in the contract documents for it to supply, in the manner and at the time specified in the contract and on a date that is compatible with the contractor's work program approved by the Department. The contractor is responsible for these materials, goods, and equipment from the time he receives them.
- The contractor must supply all materials necessary for the execution and completion of the works that are not specified in the contract documents for the Department to supply.
Article (22)
Work Progress Reports
The contractor must submit to the Engineer or his representative, at the times and in the manner he sees fit, detailed reports on the progress of all works covered by the contract, the method he follows in execution, and the materials he uses. The contractor must provide photographs that clearly show the progress of the work at the time specified by the Engineer and in the manner he designates. The contractor must provide the Engineer every morning with a report on the number of workers employed in the works by him and by his subcontractors and their distribution locations on the works.
Article (23)
Inspection and Examination
- The Engineer or his representative shall have free access at any time to any part of the worksites, workshops, stores, and other places for storage or operation of equipment belonging to the contractor or subcontractors approved by the Department, related to the contract works, for the purpose of inspection, examination, testing, taking measurements, or otherwise.
- The contractor may not cover up or backfill a work or conceal it from view without the Engineer's approval. He must notify the Engineer in a timely manner whenever any part of the work is ready for inspection, covering, or backfilling.
Article (24)
Site Inspection
The contractor acknowledges that he has personally investigated the nature of the ground and has confirmed the suitability of the soil for foundations according to the drawings which he has reviewed himself, and that he is responsible for the execution of all these drawings as well as the designs as if they were submitted by him.
Article (25)
Temporary Materials, Machinery, and Installations at the Work Site
- All approved materials, installations, parts, and machinery that have been brought by the contractor to the work site, or to the land allocated for that purpose in the contract, for use in the execution of the works, as well as all other temporary works and installations, shall remain as they are and shall be considered mortgaged in possession to the Department, and the provisions of this mortgage shall apply to them. They may not be moved or disposed of except with the written permission of the Engineer until the preliminary acceptance is completed, provided that these items remain in the custody of the contractor and under his guarding and sole responsibility throughout the execution period of the works. The Department shall not bear any responsibility for them arising from loss, theft, damage, fire, or otherwise.
- The contractor must prepare a suitable place for storing materials susceptible to damage due to weather conditions, in a manner approved by the Engineer.
Article (26)
Orderliness of Works and Cooperation with Other Contractors on Site
- The contractor must always keep the works in an orderly state and not allow any interference with other works in progress at the site for a purpose unrelated to the execution of the contract. He must also keep the site clean and hand it over completely free of unnecessary materials and debris and things harmful to health. He must hand over each part of the work after its completion in a usable condition. If the contractor fails to do these works, the Department has the right to carry them out at the contractor's expense without his objection and without the need for a warning or resorting to the judiciary.
- If the execution of the works requires working at the same site with another contractor or with government employees or others, the contractor must make every effort to cooperate in the work with them without interfering in their affairs and must provide them with the necessary facilities. He must execute the orders issued to him by the Engineer in this regard and notify him of any dispute that may arise between him and them. The decision issued by the Engineer in this dispute is considered final and binding on the contractor, and the contractor is not entitled to claim any compensation or extension of the contract period as a result of the foregoing.
Article (27)
Compliance with Laws, Regulations, and Special Instructions
- The contractor must observe compliance with laws, regulations, systems, and instructions related to police, labor, workers, water, electricity, health, municipality, antiquities, roads, and others issued by government agencies and shall bear alone the expenses required for that.
- Upon the occurrence of any case of an infectious disease at the work site, he must immediately notify the competent health authority of the name and address of the sick worker and also notify it of the absence or deportation of the sick worker due to the infectious disease.
- He must also provide the work site with a suitable place for first aid that meets all prescribed health conditions and the necessary medicines and medical supplies to face emergencies such as treating the effects of sunstroke, burns, wounds, etc.
Article (28)
Guarding, Lighting, and Water Supply for the Site
The contractor shall, at his own expense, light the site and supply it with water and electricity, as well as erect temporary fences and project signs, and guard the site with all its machinery, equipment, materials, supplies, and stores until the completion of the preliminary handover. If the contractor fails to do so, the Department or its assigned party will do so at the contractor's expense.
Article (29)
Working Hours
The contractor must carry out the works daily at the agreed-upon times. It is not permissible to carry out any part of the work or allow anyone other than the guards to remain at the workplace outside these times or at night or on non-working days of the week without written authorization from the Department. This authorization does not grant the contractor any right to claim any additional sums nor does it relieve him of any obligation arising from the contract.
Article (30)
Contractor's Engineer, Employees, and Workers
- The contractor must appoint a competent engineer or an authorized agent, subject to the Department's written approval. This engineer must be dedicated to supervising the execution of the works and be present at the site throughout the working hours. He must also be fully authorized and empowered to act and fulfill the contractor's obligations. All instructions issued to the contractor's engineer by the Department or its engineer are considered instructions issued to the contractor himself. If the Department deems this engineer incompetent, it has the right to demand his replacement, and the contractor must comply immediately.
- The contractor must also appoint a sufficient number of engineers, supervisors, and workers with competence and experience in the type of works. The Department and its engineer must be notified of the names of the foremen authorized to receive and execute his orders and instructions. The contractor must keep a special register showing the names of all these workers, their passport and residency data, and their permanent and temporary addresses. This register shall be subject to inspection by the Engineer and representatives of the labor departments in the state.
- The contractor must consider employing citizens of the United Arab Emirates.
- If the Department or its engineer finds that an employee of the contractor or his subcontractors has misbehaved or lacks the appropriate competence, qualifications, or experience, or has neglected his duties, or is undesirable for any other reason, the contractor must immediately remove this individual from the work if the Department or its engineer requests him to do so. He must immediately replace him with another competent and satisfactory person. If it is necessary to repatriate the removed person, the contractor will bear all the resulting expenses, whatever the reasons and whatever the original reasons for his recruitment. The contractor may not, because of this measure, be released from any of his obligations under the contract or claim any compensation as a result.
Article (31)
Contractor's Address and Offices, and Engineer's Offices and Housing
- The contractor must have a clear and permanent address in the Emirate of Abu Dhabi, to which correspondence and notices are sent. He must inform the Department and its engineer in writing of this address and of any change that may occur to it. Any notice sent to this address is considered to have been duly delivered.
- The contractor must prepare at the work site, at his own expense, an office for his agent and employees, equipped as necessary. This office must remain open throughout working hours to receive notices and other communications. The contractor should also provide toilets with sanitary conditions for his employees at the work site. The contractor must also erect, at his own expense, temporary offices in the place chosen by the Department and its engineer at the site, as well as temporary housing for the use of the supervising engineer if the Department requests it. The contractor shall start erecting these offices as soon as the contract is signed and the site is received, so that they are ready as soon as possible and approved by the Department.
- Upon completion of the works, the contractor is obliged to remove these offices, housing, and toilets with their contents at his own expense, unless otherwise specified in the contract documents.
Article (32)
Rejected Works, Materials, and Supplies
- If it becomes apparent to the Department at any time before the preliminary acceptance that any of the works subject to the contract is defective in its workmanship or materials, or that it does not conform to the specifications, including works and materials for which a payment certificate has been issued, the contractor shall be obliged to do what the Department deems appropriate regarding it, whether repair, restoration, removal, demolition, or reconstruction, provided that this is at the contractor's expense and without him having the right to claim from the Department any expenses arising from that.
- If the works, in whole or in part, are covered or not visible, or are incomplete or not maintained according to the terms of the contract, and a defect or deficiency appears therein that was not known to the Department, it shall have the right to request the contractor to take whatever action it deems necessary regarding them, and he must, at his own expense, carry out what is required so that the said works become satisfactory in all respects.
- If the contractor fails to fulfill his obligations under this article, the Department has the right to employ other persons to execute them at the contractor's expense.
- The contractor may not claim an extension of the contract period due to any delay that may arise from the Department's rejection of the works, materials, or tools, nor shall the Department be liable for any claim by the contractor for the value of any rejected works, materials, or tools or the costs of their removal.
Article (33)
Work Accidents
The contractor must notify the Department or the Engineer of any accident at or near the site, especially if this accident results in death or injury to persons or damage to property, including in the notification all details and witness statements. He must also report such accidents to the competent authorities in the state.
Article (34)
Transport of Equipment and Materials across Roads, Bridges, and Waterways
- The contractor must take all necessary measures and precautions to prevent damage to any roads, bridges, or waterways leading to the site due to the passage of his transport vehicles or those of any of his subcontractors.
- If it is found necessary for the contractor to transport large loads to the site that the roads, bridges, or waterways may not be able to bear, which would expose them to damage or harm, then the contractor must, before proceeding to transport across them, submit a notification to the Engineer of the amount of loads intended to be transported, their weight, and other details, along with his proposals for protecting or strengthening these roads, bridges, or waterways. If the Engineer does not inform the contractor within fourteen days from the date of his receipt of this notification of his view regarding this protection or strengthening, then the contractor shall implement these proposals at his own responsibility and he must make any modifications that the Engineer may request. If the bills of quantities and prices or other contract documents do not mention any item that includes pricing for the aforementioned protection or strengthening works, then the costs and expenses resulting from that shall be borne by the contractor, and this does not exempt him from the obligations arising from violating the traffic laws in the state.
- If the Department receives, during the execution of the works or at any time thereafter, any claims for compensation for damage or harm to the roads, bridges, or waterways, it must notify the contractor of this, and the contractor must settle these claims and pay the due amounts without having the right to claim from the Department any claim in this regard.
Article (35)
Ownership of Fossils and Antiquities
- Everything discovered at the site, such as fossils, coins, antiquities, materials of economic value, and the like, and other remains or objects of geological or archaeological importance, shall be considered, as between the two parties, the exclusive property of the Department.
- The contractor must take appropriate precautions to prevent his workers or any other persons from taking these objects or causing any damage to them. He must also, immediately upon their discovery and before their extraction or removal, inform the Department of their discovery and execute, at the Department's expense, the orders it issues regarding how to dispose of them.
Article (36)
Preliminary Acceptance of Works and Clearing and Cleaning of the Site
- As soon as the work is completed, the contractor must clear the site of all machinery, equipment, materials, soil, and debris and level it. Otherwise, the Department shall have the right, after notifying him by registered letter, to carry out these works at his expense. He will then be notified of the date set for the inspection. The preliminary acceptance report will be drawn up and signed by both the Department's representative and the contractor or his representative.
- In the absence of the contractor or his representative on the specified date, the inspection will be carried out and the report will be signed by the Department's representatives alone.
- If the inspection shows that the work has been completed as required, the date of the contractor's notification to the Department of his readiness for preliminary acceptance will be considered the date of completion of the work and the start of the maintenance period.
- If the inspection shows that the work has not been executed completely, this will be recorded in the report and the contractor will be notified. The acceptance will be postponed until it is clear that the works have been completed in accordance with the conditions. The maintenance period will start from the date of the last inspection.
- However, if the inspection shows that the part of the works not executed does not prevent the use of the work, preliminary acceptance will be carried out and the value of the deficiencies will be withheld from the contractor's dues, provided that he completes them within a period not exceeding two months. Otherwise, the Department will execute them at his expense, deducting all costs from his dues, without the need for a warning, notice, or taking any judicial measures.
- The Department will retain the performance bond until the end of the maintenance period and the completion of the final handover.
Chapter Seven
Subcontractors and Suppliers
Article (37)
Nominated Subcontractors
If the bills of quantities and prices or the contract specifications include prime cost sums or provisional sums allocated for subcontractors nominated or selected by the Department to execute some of the contract works, the following must be observed:
- The Department may not nominate anyone to whom the contractor objects for reasonable reasons. The contract concluded between the main contractor and the subcontractor must include the following conditions:
- a. The subcontractor's commitment in the contract to the same obligations incumbent on the contractor in the main contract, as well as to all claims related to any negligence caused by the nominated subcontractor, his employees, or agents, or due to their misuse of any installations, equipment, or machinery. He must insure against these possibilities and provide the Department with the insurance policy or policies and receipts for payment of their premiums.
- b. No amounts related to works included in the subcontract shall be considered due for payment until the contractor receives them under the payment certificate provided for in the main contract, which includes the value of such works.
- c. The Engineer shall have the right to enter the workshops and other places of the nominated subcontractor.
- d. The Department shall have the right to replace the contractor in the execution of the subcontract concluded with the nominated subcontractor if the contractor fails to execute this subcontract in whole or in part, without prejudice to the contractor's responsibility as stipulated in the contract.
- The contractor must pay the amounts due to subcontractors under the subcontracts within fourteen days from the date he receives the payment related to these amounts from the Department. He may not deduct from them except the withheld amounts that the contractor is entitled to deduct according to these contracts.
- Before any payment is made to the contractor, he must provide the Engineer with proof that the dues of the nominated subcontractors, which were included in a previous payment certificate, have been paid on time. In case of the contractor's failure to do so, the Department has the right to pay these dues to the nominated subcontractors, according to the payment certificates prepared by the Engineer, or deduct the value of what was paid in this regard from any amounts that are due or will become due for payment to the contractor.
- If the contractor usually performs works similar to the works for which prime cost sums or provisional sums have been allocated in the bills of quantities and prices or specifications, he may submit a bid in the tender for these items to select nominated subcontractors. This does not prejudice the Department's right to reject any bid, even if it is the lowest price. If the contractor's bid is accepted, he may not assign these works to another subcontractor without the Department's consent.
- The validity or application of the preceding provisions, or what is included in the other conditions of the subcontract, does not impose any obligations on the Department towards any of the nominated subcontractors except to the extent stated in the subcontract approved by the Department.
Article (38)
Nominated Suppliers
If the bills of quantities and prices or the contract specifications include prime cost sums or provisional sums allocated for suppliers nominated or selected by the Department to supply any materials or goods included in the contract, such as fittings or otherwise, the following must be observed:
- These prices include the price to be paid after deducting any trade or other discounts, and also include the costs of packing, transport, and delivery to the site. If the contractor incurs expenses required for special packing or specific transport at the direction of the Department, these expenses will be paid to the contractor after the Department's approval.
- All specialists, traders, craftsmen, and others appointed by the Department to supply such materials or goods are considered suppliers to the contractor and are called (Nominated Suppliers). All amounts paid by the contractor for them must be paid to him by the Department within 45 days from the date the Engineer submits the payment certificate confirming the presence of these materials and goods at the site.
- The rest of the provisions related to nominated subcontractors as explained in the previous article shall apply to nominated suppliers where no special provision is made in this article.
Article (39)
Non-Nominated Subcontractors and Suppliers
- In cases other than those of nominated subcontractors and suppliers, the contractor may entrust a part of the works or supplies within the scope of the contract to subcontractors or suppliers of his own choosing, provided he obtains the Department's written approval. The contractor may not entrust the entire contract works to subcontractors. The Department's approval does not relieve the contractor of his obligations under this contract, and he remains responsible for all the works of the subcontractors and suppliers.
- All rights and obligations between the contractor and his subcontractors and suppliers are governed by the contract concluded between them.
Chapter Eight
Article (40)
Assignment of the Contract
- The contractor may not assign the contract or the amounts due to him, in whole or in part, except after obtaining the Department's written approval. The signatures on the assignment must be authenticated. However, the assignment of all or part of the dues may be made to a bank without authentication of the signatures.
- In the case of assignment of the contract, the contractor remains jointly and severally liable with the assignee for the execution of the contract. The acceptance of his assignment of the amount due to him does not prejudice the rights the Department may have against him.
Chapter Nine
Penalties
Article (41)
Delay Penalty
- If the contractor does not execute the works entrusted to him within the time specified in this contract or on the date of the extension order issued to him by the Department, a delay penalty of.... dirhams per day shall be imposed on him.
- The total value of the penalties may not exceed 10% of the total contract value. The penalty is due as soon as the delay occurs and without the need for a notice or warning or taking any judicial measures and without the need to prove the damage, which is in all cases presumed.
- The period for which the penalty is calculated does not include the period of work stoppage if it is proven that it resulted from force majeure or by orders from the Department. The Department has the right to deduct the value of the imposed penalty from any amounts that are due or will become due for payment to the contractor in the future or from the performance bond. Exemption of the contractor from the delay penalty or part of it shall be upon a written request submitted by the contractor within fourteen days from the date he receives the value of the payment from which the delay penalty was deducted. This request must be supported by documents proving that the delay period or part of it occurred due to circumstances beyond his control.
- The provisions mentioned in the previous paragraphs do not prejudice the privileges granted to the national contractor.
Article (42)
Warning
If the contractor commits any violation of the provisions of this contract, and it is deemed necessary to alert him to this violation in order to remedy it and prevent its recurrence in the future, the Department shall warn him in writing of this. The contractor must remedy this violation within seven days from the date he or his engineer is informed of the warning, otherwise the penalties prescribed in this contract will be imposed on him. If his violation of the provisions of this contract is repeated three times, the Department may withdraw the work from him with all the resulting consequences.
Article (43)
Withdrawal of Work
(a) Cases of Withdrawal of Work The Department has the right to withdraw the work from the contractor by a notice sent by registered letter with acknowledgment of receipt to the contractor at his address specified in this contract, without the need for a warning or resorting to the judiciary, in any of the following cases, but not limited to:
- If he is late in starting the work or shows such slowness in its progress that the Department believes the work cannot be completed on the specified date.
- If the contractor stops the work completely for a period exceeding fifteen consecutive days without a reasonable reason accepted by the Department.
- If he withdraws from the work or abandons it.
- If he breaches any condition of the contract or neglects or fails to perform any of his obligations under the contract and does not begin to rectify it within fifteen days from the date he is informed of the warning from the Department.
- If he uses fraud or manipulation in his dealings with the Department.
- If he offers an explicit or covert bribe or attempts to offer it to a public official related to this work, or to the consulting engineer or one of his assistants, or offers or gives them any gifts, rewards, or presents to entice them to do or refrain from doing an act to the detriment of the Department.
- If the contractor goes bankrupt, becomes insolvent, or commits an act leading to his bankruptcy or insolvency.
- In case of liquidation if the contractor is a company.
- If the delay penalties resulting from the delay in execution exceed the maximum limit set for them.
- If he refuses or ignores the instructions issued to him by the Engineer without a reasonable justification submitted in writing to the Department at the time.
- If he assigns the contract or any part of it without the Department's approval.
- If he breaches any condition of the boycott of Israel. (*)
(*) This paragraph was repealed by Federal Decree-Law No. (4) of 2020 repealing Federal Law No. (15) of 1972 regarding the boycott of Israel.
Article (44)
(b) Consequences of Withdrawal
The withdrawal of the work shall result in the following:
- The Department shall make an inventory and list of the works that have been completed, and the machinery, tools, supplies, materials, and stores that the contractor brought to the site. This inventory shall be made within 15 days from the date he is notified of the withdrawal and of the date of the inventory by a registered letter with acknowledgment of receipt.
The inventory report shall be drawn up in the presence of both parties or their representatives.
This report shall be signed by the representatives of both parties. If the contractor or his engineer does not attend or refuses to sign the inventory report, this shall be recorded in the report and the contractor shall be notified at his address shown in the contract. If the contractor does not express his observations in writing to the Department within seven days from the date of receipt of this notification, this shall be considered as the contractor's approval of the correctness of the inventory, and the Department's decision shall be final regarding any objections or observations made by the contractor in this regard. - Calculation of the delay penalty according to the contract up to the date the contractor is notified of the withdrawal decision.
- The Department itself shall execute the uncompleted works, in whole or in part, at the contractor's expense, or shall put the remaining works out to a new tender or entrust their execution to one of the contractors by negotiation, holding the contractor liable for the difference in price. He shall not be entitled to benefit from any savings realized. The contractor shall bear the administrative expenses resulting from these procedures, which are estimated at 10% of the value of the works that the contractor did not execute.
- The Department shall have the right to expel the contractor from the site and seize all temporary installations, buildings, machinery, tools, materials, goods, and the like found at the work site and use them to complete the work without being responsible to the contractor or others for them and for any damage or loss that may befall them for any reason whatsoever, or pay any rent for them. It may retain these installations, buildings, machinery, tools, materials, and goods even after the completion of the work as a guarantee for its rights. It may sell them without being responsible for any loss that the contractor may suffer as a result. It shall also have the right to recover all the expenses and costs it incurred in excess of the contract value from any dues of the contractor with the Department or with any other government entity, in addition to its right to claim compensation for the damage that may have been caused to it.
- The Department shall cash the bank guarantees and deposit them into the government's account pending the final settlement of the contractor's accounts.
- The Department may substitute for the contractor in any agreement that the contractor has made and which relates to the supply of materials or the execution of works within the scope of this contract.
- The payment of any amounts withheld for the contractor or any of his dues shall be suspended until the final settlement of the contractor's accounts is completed.
- The settlement of the contractor's accounts shall be made and the amounts due to him shall be paid after the Department has recovered all the dues and amounts resulting from the withdrawal of the work. If any amounts remain due from the contractor to the Department, it shall have the right to recover them from any other dues of the contractor with it and with any other government entity.
- The preceding provisions do not prejudice the Department's right to remove the name of the contractor from whom the work was withdrawn from its register of contractors or to stop dealing with him for a specific period determined by the Department.
Chapter Ten
Article (45)
Termination of the Contract
The Department may, at any time and for reasons related to the public interest, terminate this contract by a registered letter with acknowledgment of receipt sent to the contractor at his address in the contract, without any objection from him. The contractor's dues shall be settled up to the date he is notified of the termination notice. The contractor has the right to claim compensation for this termination if there is cause for it. The amount of compensation shall be determined by agreement between the two parties. If an agreement cannot be reached, the two parties shall resort to arbitration in accordance with Article (46).
Chapter Eleven
Article (46)
Dispute Resolution
- If a dispute arises between the Department and the contractor, this dispute shall be referred to the consultant or the engineer appointed by the Department in the absence of a consultant to settle the dispute amicably between the two parties.
- If an amicable settlement is not reached, all disputes arising from the application of this contract or the interpretation of its clauses shall be referred to arbitration.
- The arbitration panel shall be formed under the chairmanship of a judge chosen by the Minister of Justice, and each party shall choose one member for it. The decision of the arbitration panel shall be issued by a majority of votes and shall be binding on both parties. If an agreement by a majority among the arbitrators cannot be reached, the competent court in the Emirate of Abu Dhabi shall resolve the dispute. The arbitration panel shall be bound by the provisions of this contract and the laws and regulations in force in the Emirate of Abu Dhabi and the United Arab Emirates.
Chapter Twelve
General Provisions
Article (47) (*)
Boycott of Israel
The contractor must adhere to the provisions of Federal Law No. (15) of 1972 regarding the boycott of Israel, and all amendments that may be made to it, as well as other regulations, decisions, and systems related to the boycott of Israel.
Article (48)
Confidentiality
The contractor is not entitled, without the prior written consent of the Department, to disclose to a third party any information related to this contract, nor to publish or disseminate any data about it by any means, nor to give any documents or copies thereof.
Article (49)
Ownership of Documents
All documents related to this contract are the exclusive property of the Department, and it has the right to use them in any other works outside the scope of this contract. The contractor is not entitled to use any of these documents outside the scope of this contract.
(*) This article was repealed by Federal Decree-Law No. (4) of 2020 repealing Federal Law No. (15) of 1972 regarding the boycott of Israel.
Article (50)
Introduction of Other Partners
The contractor may introduce other partners, provided that the Department gives its prior written approval for them. In this case, these partners shall be jointly and severally liable with the contractor for the execution of all obligations incumbent on him under this contract.
Article (51)
Consequences of the Contractor's Death
- If the contractor dies, the Department may terminate the contract, with the return of the performance bond to the heirs if he has no obligations to the Department. It may also allow the heirs to continue executing the contract, provided they appoint an agent for them approved by the Department.
- If the contract is with more than one contractor and one of them dies, the Department may terminate the contract and return the performance bond after recovering all its dues, or demand that the remaining contractors continue executing the contract.
- The termination of the contract in both cases shall be by a registered letter with acknowledgment of receipt without the need to take any other procedures or resort to the judiciary.
Article (52)
Supplementary Rules to the Contract
- Where there is no special provision in this contract, the general rules of civil, administrative, and commercial transactions, the general provisions of contracting, and the laws and regulations in force in the Emirate of Abu Dhabi and the United Arab Emirates shall apply.
- The provisions of this contract do not prejudice the competencies of the Public Projects Committee or any other body with similar competence.
Article (53)
Language
The general conditions of this contract have been drawn up in........... copy in the Arabic language with a translation into English if necessary. The Arabic text shall be the sole text relied upon in all matters relating to the application and interpretation of all articles of this contract and its documents.
